In accordance with the resolutions passed st the extraordinary meetings on August 29th and September 16th, the transfer of the Com pany's steamers to the Philippines 8.8. Co- was effected on November 3rd, 1910, and Balance 5 statement of that Company's account is also' appended hereto.
The less on working account is $78,893.11, and adding the expenses of transfer 836,019.79 and, the balance of $3,777.33 brought forward from last year, we have a total of $118.690.23, against which we propose to set the amount at credit of Underwriting Account 870,849.10, leaving 847,841.13 as a debit balance of profit and losa. Aud it will be seen also at the Phlippines 88. Co. starts the year with a debit balance of $19,058.47.
As noted in the report of the Philippines S. S. Co., the position shown is actually that on December 31st, 1910, but the later adjustments alladed to will reduce the sundry creditors to 8142,641,75, all due to the Philippines 8. 9. Co. (except for the inclusion of a small item, das to miner aundry creditors $2,367.89); and the assete will be the book value of the Philippines 8.-8. Company's shares, 8745,000, and profit and losg balance of $47,841.13 as stated abore,,
The new Company, though starting badly, hes steadily gained gruand and the heavy loss has been stopped, and when some arrange- ments now under way with the Philippine Authorities are completed it is expected we shall be able to more than pay our way.

Annexed is submitted the first statement of acosants of the Company, which covers tho period from its formation on November 3rd Inst to the end of the year. The accounts are rendered in Philippine Pests and in Hongkong Currency, the rate of exchange, 901, being that ruling on December 31st, 1910.
