CONSTITUTION OF THE LONDON STOCK EXCHANGE.
A Meaber Correspondent of the Times wrote last month a
The London Stock Exchange, whose proprie tore hold their annual meeting yesterday, is not only the largest and freest stook market in the world, but it is unique. It is unlike every other both in its constitution and its methods. Its history, Its habitation, its business are all more or lasa mysterios to the mu
"multitude. Like its stately neighbour, the Bank of England, it has grown up on lines of its own, from which it will he slow to depart.
Not a little of 18th century life still lingers around it. aureat, political, economic, and commercial, it paste the even tenor of its way. It is one of the few British institutions which improve with azo, but it contrives at the same time to retain mach of the old-world mystery of its youth.

The Committes would, on the other hand, noquire all the present and future income from entry money, annual sub- soriptions, and office rout. Such an arrouge:"| mant would not only tarmlasts a very anoma. lons situation, but it would put the London Stock Exchange ou much the same footing as those of New York, Paris, Berlin, and other financial capitals.

Looked at from snother point of view, it is something of which the London Stock Exchange may be prond that a penniless Committee, without even pens or paper of its own, should for more than a contars bare governed with conspicuons suos the mest important fiusacial body in the world,

One of its historical peculiarities has just been brought before the public by the issue of the annual report of that ancient body known as the Maungers. The raport which wa presented to the meeting yesterday contained two unexpected annoncements one of a divi dend making 100 per cent. for the proprietors, call of £1 per share. The sed the other first

The explanation givoa in the report as to the Bones boing required to strengthen the financiel position and for the purpose of extensions la scarcely sa infring to the proprietors. Many of them did their host to obtain private enlightenment from the Managers previous to yest-day's meeting. Int with scaut seedces. As a las bange this hoped that the chairman would vouchsafe some explanation, but he hardly alluded to the subject, except to indicate that they property had improved in value by more than £800,000 during the 30 years which have elapsed since there was a call. Thas another curious episode has been added to the history ons of the strangest securities. The shares are freely dealt in, and for a beary stock they are Ikvely in their movements. Within the past eight or ten years they have besu as high as 250, although only £33 joid, and as low as 170.ties will not be allowed to intervene in education, When the recent anoncements of 100 per but may organise religious instraction cent. was made they rallied from 170 to 200, and the dividend has sent them up to 213-their latest quotation, "

It is not unnatural that the rank and file of the Stock Exchange should consider the quali fying process slow. More heroic measures aro sometimes advocated, as, for instanco, a complete reconstitution of the proprietorial body. In ita present form it is an obvious anachronism --- interesting, but out of date. It is not like any. thing else in the City, or for that matter in-the universe. It is of a joint stock company; neither is it a private company, nor a mere codes, partnery. The nearest analogy to it is
Cor- nish mine worked on the cost book system. The par value of the shares is not fixed, and now capital can be called up as it is wanted. According to the official description, "esch share la bald subject to any number of calls, but no call may exoood £2 per share, nor on more than one call be made during any period of 12 months." As just indicated, the oil that has now been made is the first one for 30 years. The proprietors have therefore some excuse for feel-
shocked.
ing
VALUE AND INCOME OF THE PROPERTY A considerable amount of frosh sopital has been raised during the past 20 years, but it has been in the form of debentaros. Since 1890 the cutstanding debentures have increased from £250,000 to £415,7000, while the share capital of £240.000 had remained the name. This partly explains the 100 per cent, dividends, and they have to be paid on little more than atbird of the total capital, while the two-thirds which has been borrowed gets only 3 por cent. Altogether the Stock Exchange is, as it ought to be, a well-financed property.
It stands in the balance-sheet at rather more than
million sterling (£1.080,628), of which £464,864 is freehold and £615,764 leasehold. Against that the chief liabilities are three per vent. debentures, £413,600; share expital
£240,000; reserve, £200,000; and balance at oredit of income, £344,259-a total of £1,197,857. Compared with colossal figures like these, the £20,000 which the managers now propose, to call up looks insignificant. It is a mere detall beside the current income of £363,965 a year, or £1,000 per day,
MEMBERS v. PROPRIETORS,
The position of members of the Stock Ex- change who are also proprietors is very con fortable indeed. It naturally excites some savy among the 4,000 more or less who are not proprietors. They are tempted at times to ask for a small share of the £240,000 a year which
