Tho CHAIRMAN said-The abject of this meeting is to confirm the resolutions which were passed at the meeting held on the 31st Decem- ber lust. I will now read the resolutions, and propose them separately,

THE SECOND MEETING,

A second extraordinary general meeting was then hold for the purpose of submitting the following resolutions:-

L-That out of the present Reserve Fund- amosating to $900,000 and out of the mum of $37,500 representing undivided profits, the directors do pay to oyery shareholder a bonus at the rate of $30 per share in respect of every share and fraction of a share which is registered in his name on the 28th day of February, 1901, and that such bonus be, at the option, expressed in writing, of any shareholder, applicable to the payment of the amount payable by such share. holder in respect of the taking up by him of his proportion of new shares under the pro- visions of the next of those Resolutions.

2-That on the said 28th day of February, 1001, the capital be increased from $1,562,500 to $2,500,000 by the fesus of 18,750 new fully pain up shares of $50 each, and that such now shares be offered at par to every shareholder who on that date is registered as such in the pro portion of three new shares for every five shares of his registered holding on that date, and that if any such sheroholder shall not take up and pay for his said proportion of new shares be- fore the first day of June, 1901, the Diree-. tors may dispose of the proportion of new shares not so taken ap and paid for at such prices (not being less than the par value thereof, and upon ench terms se they may in their discretion think St. The Directers may, however, in their dis cretion, if the special circumstances of the case appear to them to render each a course desir able in order to obviste hardship to a share holder, permit a shareholder to take up and pay for the proportion of new shares to which he would be entitled under this resolution, not- withstanding that the aforesaid time-limit for doing so, namely the first day of June, 1901, has passed.

Viceroy Chung in negotiating with some for. eign merchants for a loan of 500,000 teels. The tracts of land purchased for the railway are offered as security,

Sung Han, Viceroy of Shenai and Kaur, is staying at Hankow, as he has received orders transferring him to snother province. Tao-mo. now Viceroy for Kwangtung and Kwangsi, is expected to arrive at Canton on or about the 15th inst.-Asahi,

RUSSIA'S ATTITUDE.

Peking, 8th January. It is said the treaty of peace will be shortly signed.

It is reported that Russia will forego her de- mand for an indemnity and compensation for work done on the railway from China. This may have some connection with the alleged Russian protectorate over Moakden, and the spacial understanding which is said to have been arrived at by Russia and China with re- gard to Manchuria, etc.

A conference of officers of the Bureau of Ad- ministration (Allies) was held yesterday. The Chinese Finance Department has offered to contribute 20,000 toels toward the expenditure of the Allies, Administration Yemen monthly, 5,500 taels of the amount going to Japan.- Wingchi.
