CONSULTING COMMITTEE,

Messrs. Maitland and Ross having left the colony, Messrs. 8. G. Bird and C. H. Thomp son were nominated for the vacant seats; these appointments require the confirmation of share- holders. The present members, Messrs. Chater, Lewis, Raymond, Bird, and Thompson retire, but offer themselves for re-election.

AUDITORS.

The accounts have been audited by Messrs. Fullerton Henderson and W. Hutton Potts and their re-election is recommended.

leaving available for appropriation $487,495.79 The directors recommend that a dividend for the half year of 8 per cent. or $125,000, and a bonus of 8 per cent. or $125,000 aggregating $250,000, be paid to the shareholders, a bonus of $20,000 to contributing shareholders, bonus of $25,000 to the European staff of the Company, that $69,955.94 be written from the value of Kowloon Docks, $25,345,10 from Cosmopolitan Dock, $5,000 from the Steam Launches, and the balance $92,194,75 be carried to the new account.

The large amount of new construction and repairs which have passed through our hands during the six months just closed have kept all our workshops more than fully employed, and in order to overtake the pressure of business it has been found necessary to keep both workmen and machines on nightwork for some months, which clearly justifies the steps already taken by the Board to largely augment the facilities of our workshops at both the Kowloon and the Cosmopolitan Establishments, and to accom- medate some large vessels now in course of construotion for the Pacific Mail, the Board has decided to increase the length of the No. I dock by 5 feat.

DIRECTORS.

Mr. George. B. Dodwell having left the colony, Mr. E. 8. Whealler was invited to the vacant seat on the Board.

In accordance with the clause 60 of the Ar- ticles of Association Messrs. C. Beurmann and E. S. Whealler retire by rotation, but being | eligible offer themselves for re-election.

The Hon. J. J. Bell-Irving has been appointed Chairman for the year 1899.

The accounts have been audited by Mr. Thos. Arnold and Mr. 8. G. Bird; the Directors re- commend these gentlemen for re-election.

A private letter received from Manila yester day says "We had a hot time on Friday night (Feb. 10th). Everybody went into the walled city. The Insurgents broke into our lines two miles from Manila and people got frightened for a time, but our troops soon put them in their places with really great slaughter of the Insurgents, as I turned out and them myself.
