NOTICE TO SHAREHOLDERS

The following is an extract from a letter dated 20th January, 1960, from the Acting Colonial Secretary to the Company:-

"I am directed to refer to the Report of the Electricity Supply Companies Commission which has been published to-day.

"2, I am to inform you that, should Government introduce legislation to control the operations of, or acquire the assets of your Company in consequence of the Report, there would be included in such legislation provisions relating to the distribution of dividends and anfeguarding of assets during the period from the date of publication of the Report to the date of imposition of control, or of acquisition of the undertaking operated by your Company.

“8. As regards dividend distribution, I am, to inform you that the legislation would provide:, "(a) that if the rate of dividend for the account- ing year 1959/60 or any succeeding account- ing year has been increased without the authority of the Governor beyond the latest rate adopted or publicly forecast prior to 10th April, 1959, such excess would be recoverable from all persons who were Directors of your Company at the time of the passing, of the Resolution of Directors authorising or recom- mending auch distribution".

Shareholders will see that without authority from the Governor the Company's dividend cannot, boʻhigher than that declared and paid in respect of the year 1957/58. Two applications were made for sugh authority, the second one on 29th October, 1900. Both were refused,
