NOTICES.
THE SHANGHAI HOTELS, LIMITED.
NOTICE IS HEREBY GIVEN that on Extraordinary General Meeting of the abovo Company will be held at the Hongkong Hotel, Pedder Street, Victoria, in the Colony of Hongkong, on MONDAY, The 15th day of OCTOBER, 1923, at 11.80 a'clock in the forenoon, for the purpose of considering and, if thought fit, passing the following Resolution na un Extraordinary Resolution, namely :-
1.-That it is expedient to effect an amalgamation of this Com- pany with The Hongkong Holel Company, Limited, whose Registered Office is situate at Victoria in the Colony of Hongkong and with a view thereto that this Compaaty be wound up voluntarily and that Walter John Hawker, of Victoria, in the Colony of Hongkong, be nhd he is hereby appointed Liquidator for the purpose of such winding up with full power to delegato all or any of his duties as be in his absolute discretion may think fit for the purpose of appointing a person or Corporation in Shanghai in the Republic of China to act, in conjunction with hini and under his control and as his Agent for the purpose of carrying out anch liquidation.
2. That the Conditional Agreement submitted to the Meeting for the Araalgatation at this Company with The Tongkong Hotel Company, Timited, upon the terms (inter alia) of the Acquisition by The Hongkong Hotel Company, Timited, of the complete undertaking, business, goodwill and property of this Company in return for the issue to members of this Company (other than The Hongkong Hotel Company, Limited, of Two shares of The Hongkong Hotel Company. Limited, of the nominal value of Ten Dollars ($10.00) each credited as fully paid up in respect of each and every completo share held by such members of this Company respectively, ba and the same is hereby approved and that the Liquidator be and he is hereby authorised, pursuant to Section Ono hundred and eighty-five of the Corapanies Ordinance, Ons thousand ring hundred and eleven, to adopt the said Agree ment and carry the stins into effect with such if any) modifications either before or after the execution thereof is the said Taquidator may think expedient. N.B.A copy of the said Ponditional Agreement may be inspected at any time during business hours at the Registered Office of the Company, Powell's Building, Des Vous Bond Central, Victorie. Hongkong, and also at the office of Messrs. Deacon, Harston & Shenton, No. 1, Des Voux Read C'entrai aforesaid, the Solicitors to this Company and also at the Shanghai Office of the Company, No. 14, Kinkang Road, Shanghai.
3.That the aforesaid shares of The Hongkong Hotel Company, Limited, shall be allotted to such aforesaid inetubers who are on fire Register of Shareholders of this Company on the date of the confirmation by this Company of the Special Resolu tion confirming the said Conditional Agreement.
N.B.-The shares of The Hongkong Hotel Company, Limited, to he allotted under the said Conditional Agreement to such aforesaid members of this Company will participate in all dividends declared by The Hongkong Hotel Company, Limited, in respect of the financial year ending 31st December. 1923, puri pasxu with the existing issued shares ("OM!") of The Hongkong Hotel Company, Linted. That the Liquidator be and he is hereby authorised to give such consent as may be necessary to the nape of The Hongkong Hotel Company, Limited, being changed to "The Houglong and Shanghui Hotels Limited. SHOULD THE ABOVE RESOLUTIONS be passed by the requisite majority they will be submitted for contirmation as Special Besolutions to a Second Extraordinary General Meeting to be held at the Hongkong Hotel, Pedder Street aforesaid, on WEDNESDAY, the 91st day of OCTOBER, 1923, at 11 o'clock in the, fareuona, for the purpose of considering and, if thought fit, confirming such Resolutions as Special Resolutions accordingly.
NOTICE IS HIEREBY ALSO GIVEN that Registered Share- holders of this Company may attend the above mentioned Meetings and vote therest in person or by Proxy provided that all Proxies and the Powers of Attorney (if any) under which the same are signed are deposited duly stamped at the Head Office of the Company (onely, the Registered Office of the Company at Powell's Building, Des Vaux Road Central, Hongkong, aforesaid) not less than Twenty-four hours before the time fixed for holding the said Meetings,
