that an EXTRAORDINARY GENERAL MEETING of the SOCIETY will be held at the regis- tered Office of the Society, No. B and 4 Queen's Building, Victoria in the Colony of Hongkong, a FRI- DAY. the Seventh Day of Novato- ber, 1910, at 12 o'clock Noor, when the subjoined Resolutions will be proposed:-
1. That the fusion of the interesta of the Union Insurance Society of Cazton, Limited (in this and the following Resolutions refer- red to sa the Society "), and the North China Insurance Company, Limited in this and the following Resolutions refer- red to as the Company'), be approved of and agreed to on the following:-
(a) That shares of the Society
of the nominal value of £10 each whereof £t per share shall be credited as paid up be allotted to the shareholders of the Com- pany in exchange for the shares of the Company in the ratio of one and a ball shtree of the Society for each one share of the Com- раду.
(b) That the Society in addi
tion make payment to the shareholders in the Com pany of the sum of £5 (Five
pounde) Sterling in cash for each one share in the Com- pany held by such share- holdere exchanging their sbares in manner and upon the basis mentioned in clause (s) abora..
2. That for the purpose of carrying into effect Resolution No. 1 (a) above, the Society do seu 15,000 Shares of the nominal value of £10 each (whereof the sum of £4 per share is credited as paid up) out of ita unisaved capital of 104,000 shares.
8. That the 15,000 sharce referred to in Resolution No. 2 abova as and when issued do rank for dividend and in all respects pari passu with the existing. Ordinary Shares of the Society and that the balance (if any) of such 15,000 shares be dealt with in such manner as the Board of Directers of the Ecciety shall think meat bene- ficial to the Society.
