-That on the a1st December, 1813 the said Messrs. Siemasen & Co. exercised the option gives them by the sid agreement of renewing the said agree ment for a further period of two years. As result of the war existing between Great Britain and Germany the said leasry, Siemssen & Co. had to suspend business and on or shoot the 30th day of October, 1914 Messrs. Alexander Huss & Co. of Hongkong were appointed liquidators of the said arm of Messrs. innsen & & Co. by order of the Cinal overnment of Hongkong.

7.The sail liquidators entered into the premises the subject of the said, tonancy agreement, retaining part there. of for their own use as liquidators and letting the remaining part as opportunity offered at such rents as they could obtain and all rents received by the said liquidators in respect of the anid premises were paid by them to the plaintifa towards satisfaction of the reat owing under the tenancy agreement. Fuch rent did not hówaver amount to the rent due under the said terancy agreement.

-In or about the month of Novem- ber 1915 the said liquidators requested the plaintifa to obtain tenants for the whole of the said premises with a view to the tenancy agreement being can- celled. The plaintiffs in due coarse relet the whole of the said premises and on the 14th December 1915 the said liquidators vacated the said premises.

9.-On or about the 22nd December 1915 the said tenancy agreement was cancelled by the plaintiffs at the request of the said liquidators to take cert from the 1st January 1916.

10-The defendants are justly and truly indebted the plaintiffs in the aum of Hongkong 88,275.46 in respect of rent rates and lift charges due under the said tenancy agreement up to the 21st December 1915.

113e plaintiffs are unsecured cred- itors of Mesara. Biemssen & Co, in respect of the said sum of Hongkong 30,270.45 and no assets of Messra hiemseen & Co. existed in Hongkong for payment to the unsecured creditors.

The plaintifs therefore pray this hon ourable Court for an order-

1.-For payment by the defendants of the sum of Hongkong 80,275 45.

2-For costs.

3-Enrther or other relief.

Mr. Wright pointed out that there were no available assets in Hongkong to meet this claim and, as they had a right to sue the partners wherever they found them, they were bringing this action. The fact that a state of war existed could not affect the parties under the contract. The only thing which could Affect the piatter would be bankruptcy an order of bankruptcy made by their

W court.

Mr. Struckmeyer, who spoke for the three defendants, said they knew nothing about the case azcept what was stated on the writ. He submitted the follow- ing written defence :--

In any case the Hongkong Branch bas been separated from the body of the firm of Siemasen & Co., by such forced firm have been management of the business in Hong- kong and, therefore, the defendants can- not be held responsible for any deficit which may have arisen during the liquidation': For sack the assets in Hongkong only can be held liable.

(b) If it is claimed that the assets available in Hongkong have not been sufficient to cover the total liabilities of the Hongkong branch, the defendants beg to refer to article 7, subacctions 19 and 13 of the Alien Enemies (Winding up) Amendment Ordinance, 1914. cording to which rent has had to be paid in the first place out of all moneys collected and, according to which the claim for rent ranks before the claim of anseenred creditors" The defendants cannot be held responsible if the liquidators should not have observed this clearly defined regulation.

The defendants therefore pear this honourable Court to dismiss the action with costs.
