PARTNERSHIP REGIS-

TRATION.

The Opposition at Singapore,

As briefly reported by cable in the CHINA MAIL on December 20, a meeting of the Sing -apore

Chamber of Commerce was held-on December 19 to consider the Registration of Partnerships Bill then before the Legislative Council. Mr W. H. Shelford (President of the Chamber) was in the chair, and thore was a largo attendance,→→

The Chairman stated that the meeting had been called in conformity with Rule 23 of the Chamber. The committeo had recent

¡y issued a memorandum dealing with the history of the whole question and setting forth the views that they had form.d upon- it. A minority had not agreed with the conclusions at which they had arrived and he had no doubt that some of them would give theft réssons for so doing; but the large majority of the committee were opposed to the measure. Of course many

of them had no doubt been from time to time in favour of some scheme of registra

with the terms of a contract or memo For a good beverage get one whose effects are tion. They had thought that it would

randum in writing made or to be made pursuant to the aid offer and to be filed with the Registrar of Companies; and that the balance, if any, of the said additional shares be disposed of by the Board in such manner as it shall think most bene. ficial to the Society. Dated the 20th day of December, 1905.

The member of Connoil representing the Chamber of Commerce and Agriculture in Penang had stated that they' were wrong in this respect He ventured to differ, and he quoted the words of the Sub-section subject to the provisions of Section 2 in support of his argument. What he would call penal or compulsory clauses had been introduced-against those new firms which did not register. The departure from the original – principle laid down in the report of 1885 and the Bill of 1888 by the addition of the words he had indicated had resulted in these penal clauses. It was a serious and important departure from the original intention of the Bill and of that Chamber when they first proposed regis- tration of partnerships. The Committee

He was astonished to see that Penang wanted the Bill because the Official Assignee had stated in his last report that except in the case of one chop there had never been any dif ficulty in finding out the names of partners in firma in Penang-the great difficulty there had been that they had all run away. They had asked Penang's opinion on the Bill but had got no reply except the bara acknow ledgement of the letter.. It was stated that they had got registration in Japan. Perhaps also in Timbuctoo, but not in England or in any Colony under the English laws, and It was better for them not to rush in whoro those others had feared to tread. Ho regretted that the Penang Chamber had

between the two bodies would, was sure, benefit both. Mr Shelford went on to reply to the statements made by various holders of the post of Official Assignee relative to the arguments that Registration of Partner- ships would save litigation and consequent work; prevent fraud; and lead to no easier collection of debts from foreign places. No real demand, ho said in con.

tion, The whole question turned on the question of assets. If a business Was sound, well looked after and payments wer made regularly, then the European Erms were satisfied. Otherwise they could look out for Qualls and that was their own look out. With regard to failures in the Colony, figures were of nurse very difficolt to obtain, but I e took the Omial Assignco's of the #gures to show, either the bui insolvency of the Colony, or no. If they did not, then the Official Assignee's experience was limited, and he probably argued on a false promise. If they did, then he would examine them. He found that during the past ten years the aver age liabilities of these had amounted to 3040,000, the net loss on which had been 8400,00), of which 70 per cent. trade bankruptcies, so that $280,000 was the not loss of the Colony from failures during that poriod. There was not a tittle of evidence to show how much of that was due to non-registration of partnereh:p. It had been argued that registration would improve the general trade of the Colony. There was no tittle of evidence either to support that view. The reasons put for ward by the Official Arsignoo were not sufficient for such a revolutionary measure as this. There had been plenty of motives assigned to them for opposing this Bill. It had been said "that the larger firms were afraid that the smaller would gain by pas■- ing of the Bill. That was a childish argu. ment; they wore all in the same boat. He absolutely repudiated the motire assigned to them. It had been argued that they should have left it to the Legislative Council to put the Bill into shape. One of their last communications with the Government was an enquiry from the latter as to what were the Chambon's views now, and they had stated that by a majority of one they were not able to give an opinion from the Chamber until they had soon the Bill. It was intended for their benefit. If they did not think it was eo, all they had to do was to say so; if otherwise they would find the Government only too glad to put it through. The Chairman cono'uded his speech, amid applause, by moving

That in the opinion of this chambor the Registration of Partnerships Bill now before Council is not desirable in the trading interests of the Port.'

Mr C. McArthur seconded the resolution, being of opinion that the Bill would hamper trade and atide enterprise.

Hon. Mr W. P. Waddell supported the resolution, declaring that he failed to see

of a natural vegetable substance which acts more benefically upon the liver and diges tive system than any medicine yet discover- ed Obas. Forde, the discoveror of this substance, had long been impressed with the remarkable freedom from disease of the Australian natives.

On this subject the great Captain Cook wrote: I did not observe (amongst the natives) any appearance of disease or bodily complaint or eruption of the skin. Very old men without hair and teeth showed no signs of decrepitude, and were full of vivacity. There must be some reason for this, and Chan, Forde, armed with the im. plements of modern scientific research, sought for that reason amongst the rich profusion of Australian herbe which had been the sole medicines of the natives. After years of research he found him self the happy discoverer of a vegetable substance which acted on the liver and digestive organs differently and in superior manner to any medicine known. The best laboratories, dictated as being beat for the purpose, was requisitioned in the com. pounding of this substance into convenient medicinal form; and the result of it all was the production a few years back of Bile Beans-the most perfect medicine of mo- dern times.A

King George of Greece has spent this week in England. In a reign 2221 of two and forty years this

only the second visit that the King of the Hellenes has been able to pay to this country where his sister reigns in all hearts. We have at all times been friendly to the nation be rules, though the Greeks bave been rather trying to our patience at times. Not so steady as our new allies, the Japanese, they have been always equally patriotic, and their zeal has been and even now is, in Macedonia at least, indiscreet. The hearty welcome their King has received here, is part of a series of meetings which have their share in the task of insuring peace in Europe.
