European colleagues on the directoratein the Westminster Gazette of Tuesday. This rep ly took the form of statements. to an inter viewer, and Mr. Moreing may have been misreported in parts; but the whole of the statements in the interview have the ap- pea rance of having been carefully prepared and rovised by Mr. Moreing, and, if this be so, they must be taken to strengthen rather than demolish, the indictment against the European control, as I shall proceed to
show.
At the outset it will be necessary to glance briefly at the history of the company and the allegations which Mr. Moreing had to
answer.
The Chinese Engineering and Mining Company has now an issued share capital of £1,000,000, and debentures to the amount of £500,000, while it owns three collieries, a number of steamers, wharves, etc., in Chius. The undertaking was originally conducted by a local company of the same name; but owing to the chaoti Comprising:-

Mr. Eames, the only lawyer in these parts at the time, drew up the legal document required, and Mr Hoover left for London. The management of the company shall be conducted by two boards of directors, one in China, and one in London.
The management of the property in China will be in the China Board.
The shareholders, whether Chinese or foreign, shall have equal votes at all meetings of the shareholders when the company's affairs are discussed and ques- tions decided.
The London Board will be elected by all the shareholders, Chinese and foreign.
Now, the gravamen of the accusations of the shareholders in China against Mr Morcing and his colleagues in London is that they (the London Buard) bave not omplied with the povisions as to the man- agement of the company; that they have practically ignored the authority of the Board in Chinn From the date of the company's flotation and that they have manipulated the issues of capital Record of the Founding to the detriment of the voting power and Development of the and interests of the shareholders in explanation to the Hongkong and Whampoa China. In his Dock Co., Limited,
interviewer of the Westminster Gazette, Mr Moreing passes over the allegation Reprinted from the CHINA MAIL that he and his European colleagues have not observed the conditions of manage- mnt-ris, that the company should be conducted by two Boards, one in China, and one in London. It is in this point that the whole of the matters.m dispute turn, and especially the question of the capitalsnes, The China Board argue that they ought to have been con- sulted in the matter of the capital issues; and that, if they had been, they would. certainly have vetoed the debenture issue of £500,000 with a bonus of £250,000 shares to subscribers, and £150,000 to Mr

was distributed: Of the £1,000,000 shares, near the TRAM TERMINUS. T LEPHONE 58, 425,000 went to the Chinese as purchase money, 250,000 as premiusa shares on the debrnin es, and 150,000 to the Oriental Syndicate for its guarantee of the whole of the debenture issue; the remaining 175,000 were absorbed in clearing out the old croditors. Of the £50,000 of debentures, £400,000 went to clear off the debts, and £100,000 was applied as working capital.
It is quite incorrect, as stated, that 700,000 of the company's shares are held in China. The total holding in that coun- try is not more than 400,000 shares; 200,000 are held in Belgium, and 400,000 are owned in England.'

There is a difference of 50,000 between the figure of the shares which Mr Moreing says went to Chica, and the humber which the European members of the Board out there admit receiving. This difference may have been diverted, as Mr Moreing appears to suggest in another part of his story, by certain high officials who represented the interests of the Chinese Government on the local Board of the company; but whether this be so or not, it is quite beside the question of whether or not the interests of 865 the sharchaldors in China were properly considered in the financing of the company by Mr Morcing and his friends on this side. Mr Morcing, in my opinion, makes it pretty clear that they were not. Mr Morning and his friends were entitled to a reasonable remuneration for what ho terms 'straighten- ing out the loans' of the undertaking, but surely the proprietors in China have just grands for complaining of the disburne- mont of shares to the nominal amount of £400,000-250,100 as bonus to the subscri- bors of the debentures, and 150,000 to the Oriental Syndicate for guaranteeing the issue-in placing £500,000 of debentures! If it be true, AS alleged at the

the com- pany's credit stoud so high at the date of the issue debentures that the shares were quoted at 70 to 100 per cent. premium-and Mr Moreing has not yet replied to this point-the transaction was still more unconscionable. Mr Moroing admits that, even in the chaotic state of affairs occasioned by the rebellion in China the loans of £400,000 outstanding on the company's property were lont at 11 per cent. as to £200,000, and 8 per cent. as to a further £200,000; and in a more settl- ed state of the country, and with the com- pany registered under English laws, it would seom that they could have been liquidated by the issue of the present & por cont. debentures of the company at par.
