ment as to what the national flag is. Lord Hawkesbury insists that it is the Red Eusign and nothing else. No doubt he is right in the sense that the Red Ensign pro claims the nationality of the unprivileged British merchant vessel, and is the only flag that can lawfully be displayed by such A vessel as the recognized symbol of its nationality. But, if the Red Ensign the only flag that can properly bo called national, how comes it that the flag flying at the Victoria Tower whenever Parliamont is sitting is not the Red Ensign. but the Union Jack ? The. question is not altogether without difficulty, perhaps. But, with all respect for Lord Hawkesbury, we must, as at present advised, hold the better opinion to be that the Union Jack is the national flag properly so-called, the Rod Ensign being that form of it which is prescribed by law as the. symbol of the nationality of every British vessel at sen, not being a man-of-war or a vessel otherwiso privileged to wear a different ensign. That the Royal Standard. is not the national flag, nor a national flag in any sense, is a proposition too clear to admit

is of disputo. It the personal flag of the Sovereign, and can be displayed by a subject only by special permission of the Sovereign, and this, from the nature of the caso, is very rarely accorded. This is established beyond a doubt by the letter of Lord Knollys to the Vicar of St. Michael's, Folkestone, which wo printed on June 7. The Vicar stated that his congregation had spent £10 in. buying a Royal Standard, thinking that they would be able to fly the flag from the church tower as usual,' and he asked that an exception might be made in their favour. Sir Francis Knollys, as he then was, replied that the Royal Standard, which is the King's personal flag, can only be hoisted at the Coronation. If permis- sion were given in one case, it would be impossible to refuse it in any others. I must remind you, he added, however, *that you can always fly the Union Jack.' It would seem from this that, in the opin- ion of the King's Private Secretary-which ive muy bo sure was not lightly given-the proper flag to fly on any festive occasion is the Union Jack. Lord Hawkesbury might urge, perhaps, that this is merely an obiter dictum,and that it does not finally establish the title of the Union Jack to ha regarded as the only true national fing. But surely this question is decided by the fact that the Union Jack is a feature common, and the only feature common, to all ensigns, whether white, red, or blue, which are worn by British slips at sea. Ensigns are not mere ly flag; they are essentially distinguish- ing flags. White, red, and blue onsigns ATO one and all symbols of British nationality as distinct from all other na tionalities, and, as between themselves, they distinguish different classes or cate LD.gories of British ships. The display of the Union Jack is the international mark of all three, the colour of the fly' being only a municipal distinction, so to speak. The same conclusion seems to follow, also,

No Union Jack is properly constructed unless this

arrange- ment is scrupulously respected, nor is any such flag properly proportioned, according to established usage and prescrip- tion, unless the length or 'fly' of the flag is twice as great as its height or hoist. There are other niceties of con- struction, such as the preciso point at which the combined saltires of St. Andrew and St. Patrick should intersect the cross of St. George; but, as some latitude of usage seenis to be tolerated in these re specta-indeed, the authorities are not quito unanimous about thein-we need not describe them in detail.

Such is the historical evolution of the Union Jack, and it seems to us clearly to indicate that the Union Jack is, and must be, the only national flag properly, sa- called. There remains the question of its proper or improper use and display. This is necessarily prescribed with far greater precision and authority as regards ships at Sen than us regards its employment by private citizens on shore. At sea the national fing, in whatever form it is international lawfully displayed, is an

symbol of nationality which confers certain definite rights, privileges, and immunities. It must not, therefore, be so used as to confound different classes of ships entitled to wear different forms of it, nor must it be so used by inerchant vessels of any class as to interfere with the recognized symbolism or significance of its use for various purposes by ships of the Royal Navy. For this reason the senior naval officer present in any part of the world is empowered to restrain the improper use of any form of the national flag by British vessel afloat. any and every But on land there would seem to be Do occasion for the observance of such precision nor for the exercise of such authority. The national pride in the national flag should suffice to restrain its improper use and display, and all that seems to be needed is a wider diffusion to accurate knowledge on the subject. ABRIDGED PROSPECTUS.

OBJECTS,

The objects of this Company are to acquire, asfa going concern, and extend the well-known mining undertakings and properties, hereinafter set out, belonging to Messrs. L. Vrard & Co., Hankow, to gether with all the rights to and interest in the Vendors' Concessions, and with the benefit and responsibilities of all pending contracts and engagements of the business. The Vendors are making this sale to the present Company with a view to paying of certain family and other charges upon the business, and as a means of providing further capital for its extension.

TERMS OF VENDORS,

The purchase prices Taels 680,000 Shanghai Sycee, of which, the Vendors wi! take Taels 500,000 in fully paid-up Shares, and the balance of Taels 180,000 in cash, if sufficient working capital over and abor that sum has been provided for the Com- pany by allotment of the Public.

The Vendors undertake to pay all debts awing by the business up to the date of the allotment, and they will collect all debts owing to the business to that date.

CONCESSIONS,

The firm of I.. Vrard & Co. have under their control a large number of Chinese Mining Concessions located in Hunan and the adjacent provinces. Sixteen of these Concessions are approved and confirmed by the competent Authorities in Hunan, and arrangements have been made with the Chinese holders for the transfer of their agreements with the Vendors to the Com pany

Although no systematic devolopment work up to the present has been carried out on these Concessions, they havo been judiciously selected by experts from a very large number of prospected mining districts in what is believed to be the richest part of the Yangtze Basin. The Vendors, having beon the first in the field, have succeeded in securing some of the best and most cove- ted Chinese concessions, where the mineral ores are partly on the surface and promise an extremely successful and lucrative work- ing.

ESTIMATE OF REVENUE,

The present plant is capable of turning out 100 tons per diem of crushed and refin ed Ores, but the capacity of the works and their output could easily be multiplied by the investment of about Tls. 31,000 for additional machinery. Taken at low estimate the net profit for the Company on treated Ore is Tls. 6 per ton, so that if the trun-out be increased to only 1,000 per week, Ths. 6,000 per week, or Tis. 300,000 per annum, after payment of all expenses, will be earned. The agreements with the Funan Board of Mining alone are, therefore, estimated as producing a revenue of about 30 per cent. per annum.

This anticipated return is confirmed by the following cortificate of Mr Arthur R. Leake, Chartered Accountant, who arrives at a slightly higher result:

To ascertain the above figure I was com pelled to adopt the selling prices and Ex- change as shown in the Account Sales produced, and, therefore, the above figures do not allow, in any way, for fluctuations in the market prices of metals and for Exchange.

I have examined the Agreement between the Vondors and the Hunan Board of Mines, and I wish to point out that, under existing circumstances and on a basis of a yearly output of forty thousand tons, the Antimony agreement, as at present con- stituted, would expire in five years.
