the STAR MANUFACTURING COMPANY, LIMITED, duly convened and held at the regis- tered office of the Company on the 1st day of December, 1917, the subjoined Resolution was duly passed as an Extraordinary Resolution and at a subsequent Extraordinary General Meeting of the Company also duly convened and held at the office aforesaid on the 19th day of December, 1917, the same Resolution was duly confirmed as a Special Resolution namely:--

"That the Company be wound-up volun- tarily and that Mr. Tam Wing Kwong the Manager of the Company be and he is hereby appointed Liquidator of the Company.'
