AT an Extraordinary General Meeting of
the above Company duly convened and held at No. 1, Foochow Road, Shanghai, on the 26th day of July, 1915, the following Resolu- tions were duly passed and at a subsequent Extraordinary General Meeting of the said Company also duly convened and held in the same place on the 10th day of August, 1915, the same Resolutions were duly confirmed as Special Resolutions, namely:
(1) That it is desirable to reconstruct the Company, and accordingly that the Company be wound up voluntarily, and that STIRLING FESSENDEN be and he is hereby appointed Liquidator for the purpose of such winding up. (2.) That the said Liquidator be and he is hereby authorised to consent to the registration of a new Company under the General Corporation Law of the State of Maine, United States of America, to be named "ANDREWS VON FISCHERZ & GEORGE" with a certificate of incorporation and by-laws which have already been prepared with the privity and approval of the directors of this Company.

(3.) That the draft Agreement submitted to this Meeting and expressed to be made between this Company and its Liquidator of the one part and AN- DREWS VON FISCHERZ & GEORGE of the other part be and the same is hereby approved and that the Liqui- dator be and he is hereby authorised pursuant to Section 185 of the Com- panies Ordinance, 1911, to enter into an agreement with such new Company (when incorporated) in the terms of the said draft and to carry the same
into effect with such (if any) modifica- tion as he may think expedient.
