T the adjourned first meeting of the creditors in the above matter held at the Official Receiver's Office on the 6th day of: November, 1913, at 11 a.m., it was resolved by special resolution of the creditors present to entertain a proposal for a scheme of ar- rangement in the following terms :-

The debtor's property shall vest in JOHN HENNESSEY SETH as Trustee under the Scheme of Arrangement and his remuneration shall be 5 per cent, on all monies collected by him,

The Trustee shall realise as soon as possible the debtor's property except the good will of the debtor's business and the trade marks used in connection therewith.

The Trustee shall as soon as praticable assign to CRUZ, BASTO AND COMPANY of Hongkong the goodwill of the debtor's busi- ness together with all trade marks used in connection therewith and such pending con- tracts as will in the opinion of CRUZ, BASTO AND COMPANY be likely to yield a profit subject to the following terms -

The Trade Marks have respectively been used by the Applicants or their perdecessors in business as follows namely Nos. 1, 2 and 8 since the year 1902; Nos. 3 and 5 since the year 1907; Na. 4 since the year 1912, and Nos. 6 and 7 since the year 1910; all in res- pect of Manufactured Tobacco, in Class 15.

The above mentioned Trade Marks No. 2 is to be associated with the Trade Mark No. 156 iii of 1888 and Nos. 6 and 8 with the Trade Mark No. 123 M of 1901.

Facsimiles of the Trade Marks can be seen at the Office of the Registrar of Trade Marks of Hongkong and also at the Office of the undersigned.
