NOTICE OF TRANSFER.

pursuance of Section 3 of the Fraudulent Transfers of Businesses Ordinance, No. 25 of 1923, Notice is hereby given that the United Battory Service (聯華電池公司)

carrying on business of manufacture of batteries at Nos. 427 and 429 Queen's Road West Victoria in the Colony of Hong Kong (hereinafter called "the Transferor") has agreed to sell the busi- ness of the said United Battery Service together with its goodwill, trade marks, stocks-in-trade, machineries, fixtures, furniture and effects to Oversea Battery Factory of No. 8 Des Voeux Road West 1st floor Victoria aforesaid (here- inafter called "the Transferee ") and that such sale shall be completed at the expiration of one calendar month from the date of the publication of this notice.

The Transferee intends to carry on the said business at Nos. 427 and 429 Queen's Road West Victoria aforesaid under the style or firm

name of Oversea-Battery Factory (

the Registered Office of the Society Union A) and will not assume any

Building, Victoria, Hong Kong, on Friday the 16th April 1937, a Resolution was passed whereby a call of £2 per share was made upon all shareholders of the Society appearing on the Register of Members on the 16th April 1937 and that the same was made payable to the Society at its Registered Office, Union Building, Victoria, Hong Kong, on the 10th day of May, 1937.

At such Ordinary Yearly Meeting it was further resolved:

"That for the purpose of paying the aforesaid call of £2 per share a

capital bonus of £2 per share be

and is hereby declared payable

on the 10th day of May 1937 and

that such capital bonus be applied by the Directors on behalf of the persons who on the 16th day of April 1937 were the holders of such shares in satisfaction of the said call of £2 per share in accordance

with the Articles of Association of

the Society and that smch capital

bonus shall accordingly be treated

for all purposes as an increase in

the amount of the paid up capital

of the Society held by each such

shareholder and not as income."
