The second stage of the investigation, had it been reached, would have involved the FTC issuing requests to the two companies for details of their current structure and future plans. The FTC official implied that any failure to comply with these requests would have caused the FTC to take action to attempt to prevent the acquisition from going ahead.
As I set out in my letter to Mr Siu, the UK Government objects to unwarranted assertions of extraterritorial jurisdiction in matters of competition law by other countries merely because particular activities may
may have an effect in that country. Instead, it is the policy of the UK Government to support the introduction and enforcement of effective competition rules in other countries, and to encourage co-operation between competition authorities on cases of mutual interest, within the bounds of their respective laws regarding confidentiality.
