(5) HSBC Trustee (Singapore) Ltd. sold on behalf of discretionary clients 12,918 existing HSBC Holdings shares at

a price of HK$46.00 per share.

(1) Carlingford Swire Assurance Ltd. held as principal 397,153 existing HSBC Holdings shares.

(2) Carlingford Swire International Assurance Ltd. held as principal 1,849,907 existing HSBC Holdings shares.

(4) Wardley Investment Services Ltd. held on behalf of discretionary clients 8,666,577 existing HSBC Holdings

(vi) (a) (1) On 28 April 1992 Schroders International Merchant Bankers Limited, which is presumed to be acting in concert with HSBC Holdings, bought on behalf of discretionary clients 100,000 existing HSBC Holdings shares at a price of HK$43.57 per share.

(2) On 30 April 1992 Schroders Asia Limited, which is presumed to be acting in concert with HSBC Holdings,

bought on behalf of discretionary clients 20,000 and 136,800 existing HSBC Holdings shares at prices of HK$41.50 and HK$41.75 per share repectively and Schroders International Merchant Bankers Limited bought on behalf of discretionary clients 165,200 existing HSBC Holdings shares at a price of HK$41.89 per share.

(3) On 1 May 1992 Schroders Asia Limited bought on behalf of discretionary clients 5,600 existing HSBC

Holdings shares at a price of HK$41.50 per share.

(b) During the period from 2 May 1992 to 8 June 1992 Schroders Asia Limited: (1) bought on behalf of

discretionary clients (a) an aggregate of 784,000 existing HSBC Holdings shares at prices ranging from HK$41.50 to HK$48.50 per share and (b) 22,000 and 10,000 warrants in respect of existing HSBC Holdings shares at prices of HK$25.10 and HK$25.50 per warrant respectively; and (2) sold on behalf of discretionary clients an aggregate of 332,000 existing HSBC Holdings shares at prices ranging from HK$44.75 to HK$48.00 per share.

(vii) As at 8 June 1992:

(1) Schroders Asia Limited held on behalf of discretionary clients 7,544,705 existing HSBC Holdings shares and

428,800 warrants in respect of existing HSBC Holdings shares.

(2) Schroders International Merchant Bankers Limited held on behalf of discretionary clients 912,169 existing

HSBC Holdings shares.

(viii) The following dealings for value in existing HSBC Holdings shares by members of the Midland group have taken

place during the period from 2 May 1992 to 8 June 1992:

(1) Euromobiliare Gestioni S.p.A. sold on behalf of discretionary clients an aggregate of 12,000 existing HSBC

Holdings shares at prices ranging from HK$44.50 to HK$44.75 per share.

(2) Midland Montagu Asset Management sold on behalf of discretionary clients 40,000 existing HSBC Holdings

shares at a price of HK$43.81 per share.

(ix) As at 8 June 1992:

(1) Euromobiliare Gestioni S.p.A. had ceased to be interested in any existing HSBC Holdings shares.

(2) Midland Montagu Asset Management held on behalf of discretionary clients 1,958,000 existing HSBC Holdings

shares.

(3) Greenwell Montagu Stockbrokers held on behalf of discretionary clients 97,283 existing HSBC Holdings shares. (4) Midland Bank Trust Company Limited held on behalf of discretionary clients 501,592 existing HSBC Holdings

shares.

(x) A full list of the dealings referred to in sub-paragraphs (iii), (iv), (vi) and (viii) above is available for inspection, as

referred to in paragraph 6 below.

In Midland

(i) On 29 April 1992 Wardley Investment Services Ltd. sold on behalf of discretionary clients 60,000 Midland shares at

a price of 388p per share.

(ii) The following dealings for value in Midland shares by members of the HSBC Holdings group have taken place during

the period from 2 May 1992 to 8 June 1992:

(1) On 7 May 1992 Hongkong Bank Trustee Ltd. bought on behalf of discretionary clients 11 call option contracts in respect of 11,000 Midland shares at a price of £484.99 per option contract (inclusive of expenses); the options under these contracts are exercisable at any time up to 16 September 1992 at a price of 360p per share. On 8 June 1992 Hongkong Bank Trustee Ltd. sold 5 of these call option contracts.

(2) On 15 May 1992 James Capel sold (on an execution only basis) on behalf of a discretionary client 3,112 Midland

shares at a price of 390p per share.

(3) On 29 May 1992 Hongkong Bank Trustee Ltd. bought on behalf of discretionary clients 50,000 Midland shares

at a price of 412p per share.
