During a recent telephone conversation I mentioned some general concerns I had about how some of the companies on the consolidated list of British undertakings being prepared by BTC fit in with the guidelines. These include the following:
Those undertakings being included under criteria (b) will I assume include a number of companies with shareholdings between 50 and 100%. How does this fit in with the term "wholly owned" companies used in the criteria?
(b)
How do we treat subsidiaries of British companies which have recently gone into receivership eg Polly Peck International which has a number of subsidiaries included in the list?
(c)
(a)
What view should be taken of companies whose parent is registered in the Isle of Man (Tech-Xecutive Society) or Jersey (G Maunsell associate companies included in David Smith's faxes of 9 and 15 January)?
There are a number of companies which are obviously British which do not seem to fit into the guidelines as they stand. These are the companies mentioned in BTC's List G included with their fax of 31 December and the Bank of Scotland and Oxford University Press (neither of which are registered at Companies House). It is possible that some of the companies included in List G meet other criteria (the NDC obviously does) but we may have unwittingly confused BTC by our previous comments that they were "other institutions" which we agreed "should be classed as British". Information that we have so far been able to gather on these is attached.
