it must register that branch in Northern Ireland, in accordance with the parallel procedures there. The company must notify the Registrars, as appropriate, in Great Britain of this branch registration in order to extinguish any further obligations under the existing place of business registration.
Switching from branch to place of business registration

Where a company:
(a)
ceases to have a branch in Great Britain; but
(b)
continues to have a place of business in Great Britain; and
(c)
does not have a branch in Northern Ireland
it must register under the place of business regime. If the place of business is in the same part of Great Britain as was the branch, the company may elect to treat the constitutional documents and the list of the directors and the secretary and their particulars that were filed under the branch registration regime as already having been filed as required by form 691. Again, this option is available only where the company has fulfilled its obligations in respect of branch registration.
D-8 Where a company incorporated outside the United Kingdom and Gibraltar:
(a)
ceases to have a branch in Northern Ireland; but
(b)
continues to have a place of business but not a branch in Great Britain
it must then register in Great Britain under the place of business regime.

Where a company:
(a)
closes a branch in Great Britain; or
(b)
ceases to have a place of business in a part of Great Britain.
it is required to notify its closure to the registry in which it had registered that branch or place of business.
