HOW CAN A SINGLE MEMBER HOLD GENERAL MEETINGS?

The regulations provide that, nothwithstanding anything

in the company's articles of association to the contrary,

a single member, present in person or by proxy, shall

constitute a quorum.

Where such a meeting is held, it must be recorded in

the minutes of the company as such.

If a decision is taken by a single member, other than

by way of a written resolution, then the decision must

be conveyed to the company in writing.

ARE THERE ANY OTHER RESTRICTIONS?

If the company enters into a contract with the sole

member who is also a director of the company, and

the contract is not in writing, the company must ensure

that the terms of the contract are set out in a memorandum

or are recorded in the minutes of the next directors

meeting. This does not apply to contracts entered into in

the ordinary course of the company's business.
