CAN IDEAL DIRECT WITH COMPANIES HOUSE TO

FORM MY COMPANY?

Yes, but you should be aware that whilst Companies House staff will be happy to give you guidance on general matters, they cannot advise you about the content of the memorandum and articles, or indeed whether an incorporated company is the best vehicle for your business. You are advised to consult a com- pany formation agent or a solicitor when you are con- sidering forming a company.

Documents to be submitted and their contents

1. Memorandum of Association

must show

a) Name of Company

Private company limited by shares

Private company limited by guarantee

Private company unlimited liability

Public company

b) Location or Registered Office

c) Objects of the Company

d) Liability of Members Limited

e) Witnessed signature of subscribers

f) Name must end with Limited or

Welsh equivalent

g) Share Capital registered on

incorporation

h) Number of shares taken up by

subscribers

i) That each Member will contribute

if company is wound up

j) A public company must state that

it is public

k) Share Capital must be at least

authorised minimum

I) Name must end in public limited

company, P.L.C. or Welsh equivalent
