WHAT IS A PUBLIC LIMITED COMPANY?
A public limited company is a company which is
registered as such and must comply with the following
requirements.
a. It must state that it is a public limited company
both in its memorandum and in its name. The
memorandum must contain a clause stating that it
is a public limited company and the name must end
with "Public Limited Company" or "PLC" (or the
Welsh equivalents "Cwmni Cyfyngedig Cyhoeddus"
or "CCC")
b. The memorandum must be in the form specified
in Table F of the Companies (Table A to F) Regulations 1985.
c. It must have an authorised share capital of at
least £50,000.
d. Before it can commence business, it must have
allotted shares to the value of at least £50,000.
Each share allotted must be paid up to at least one
quarter of its nominal value together with the whole. of any premium. (eg a share of 25p sold for £1.50 has a premium of £1.25 which must be paid together with 6.25p as one quarter of the nominal value. Total
£1-31.25. At least 200,000 of these shares would
have to be allotted).
