Securities has the meaning attributed to the term "securities" in the Securities Ordinance.
BFC means the Securities & Futures Commission.

Shares means securities which :

(a) carry voting rights under all circumstances;
(b) carry a right to participate in the earnings of a company and its assets either by way of a dividend calculated other than with reference to a fixed rate of return, or by way of a distribution of assets upon liquidation or winding-up calculated with reference to an amount greater than the amount paid
