(iv) the member (including one who has vacated the chair
under subparagraph (iii)) shall, if so required by
the member presiding, withdraw from the meeting
during the discussion and shall not in any case,
except as otherwise determined by the member
presiding, vote on any resolution concerning the
matter or be counted for the purpose of establishing
the existence of a quorum.
7.
A resolution of the Board shall not be invalid by reason only
of the failure of any member to comply with paragraph 6.
8. (1) A resolution in writing signed or assented to by a written
message by a majority of the members of the Board shall be as valid
and effectual as if it had been passed at a meeting of the Board.
(2) Any such resolution shall be deemed to have been passed at
a meeting held on the date on which it was signed or assented to by
the last member to sign or assent.
(3) This paragraph shall not be construed as requiring that
persons signing or assenting to a resolution shall sign or assent to
the same document containing the resolution; but where 2 or more
documents are used for the purpose of obtaining signatures in
respect of any resolution, each such document shall be certified in
advance by the person appointed to be Secretary to the Board to
contain the correct version of the resolution.
