(2) The Board shall be the governing body of the Corporation
with authority on behalf of the Corporation to exercise all the
powers and perform all the duties of the Corporation conferred or
Luposed by or under this or any other Ordinance.
18.
Membership of the Board
(1) The Board shall consist of 9 persons, not being public
officers, the majority of whom are for the time being ordinarily
resident in Hong Kong, appointed by the Governor.
(2) Notice of every appointment made under subsection (1)
shall be published in the Gazette.
(3) Schedule 1 shall have effect with respect to the Board and
its members.
19.
Executive Director
(1) There shall be an Executive Director who shall be
responsible to the Board for the management and administration of
the Corporation.
(2) The Governor shall appoint the first Executive Director of
the Corporation for such period and upon such terms and conditions
as he thinks fit.
(3) Upon the expiration or termination, as the case may be, of
the appointment under subsection (2), the Board shall, under
bsection (4), appoint the Executive Director of the Corporation.
(4) Subject to subsection (2), the Board shall by a resolution
passed by a majority of all the members of the Board appoint the
Executive Director of the Corporation.
