goes into receivership, or makes any assignment
or composition with its
creditors;
to
ceases to carry on business;
repeatedly fails to comply with a term or condition of this Licence, or any lawful reasonable direction of the Authority or fails to do all such acts as are necessary to enable it to perform its obligations under this Licence;
Notwithstanding
the provisions of
Condition 22.1
the Governor-in-Council may revoke this Licence where it is of the view that the public interest so requires.
In
considering its discretion under Condition 22.2, but without limiting the generality thereof, the Governor-in-Council may take into account whether any person, persons or entity is in a position to exercise control over the Licensee and whether the exercise of control by such person, persons or entity is contrary to the public interest.
For the purpose of Condition 22.3
means
to
"exercise
control"
hold office in the Licensee company or to be the beneficial owner of more than 15% of the voting shares of the Licensee.
Notices or Directions to the Licensee
23.1 Any
23.2
notice, direction, request or order required or authorised to be given to the Licensee under the Ordinance, or this Licence shall :
23.1.1 if required or authorised to be given by the Authority be valid if signed by the Authority or any public officer authorised, either generally or specifically, in writing by the Authority to so sign on his behalf; and
23.1.2 if
be
the
required or authorised to be given by Government or the Governor-in-Council valid if signed by any public officer authorised,
either
generally specifically, by the Governor to so sign.
or
Any such notice, direction, request or order may be served by delivering it to an officer or responsible employee of the Licensee at its registered office or last known place of business in Hong Kong or by registered post to such office or place.
