SCHEDULE
PROVISIONAL AIRPORT AUTHORITY
[ss. 3(2), 8(1) & 15(4)]
AUTHORITY TO BE BODY CORPORATE, ITS CONSTITUTION, ETC.
1. Authority to be a body corporate; seal

(1) The Authority shall be a body corporate with power to sue and de sued. (2) (a) The Authority shall provide itself with a seal.
(b) The seal of the Authority shall be authenticated by the signature of the Chairman or of the Deputy Chairman (if any) of the Authority, and if the Chairman is or, where appropriate, both the Chairman and Deputy Chairman are, absent from Hong Kong or otherwise unable so to authenticate, the signature of some other member of the Authority authorized by it to act in that behalf.
Constitution of Authority
(1) The Authority shall consist of the Financial Secretary who shall be chairman ex officio ("the Chairman"), the Chief Executive Officer who shall be a member ex officio, and such number, to be determined by the Governor (but being neither less than 8 nor more than 15), of other members appointed by the Governor, and where the number of ordinary members falls below the minimum number required for the time being, the Governor shall make such appointment or appointments as may be necessary to comply with that requirement.
(2) The Governor may appoint the person who is Chief Executive Officer or any ordinary member to be deputy chairman of the Authority ("the Deputy Chairman").-
(3) (a) If no appointment under subparagraph (2) is in force or if the office of Deputy Chairman is vacant, the Governor may designate an ordinary member to act, subject to section 15(4), as chairman of the Authority during any period during which the Chairman is absent from Hong Kong or is otherwise unable to act as chairman of the Authority.
(b) A designation under this subparagraph shall cease when revoked by the Governor or
an appointment is made under subparagraph (2), whichever first occurs.
(c) Subsequent references in this Schedule to the Chairman include references to a person
to whom a designation under this subparagraph relates.
(4) The remuneration (if any), expenses or other allowances (if any) payable to, and the other terms and conditions of once of, ordinary members shall be such as the Governor may determine and different such terms and conditions may be so determined in relation to different classes or descriptions of such members.
(5) An ordinary member may at any time resign from his office as such member by letter addressed to the Governor.
(6) The Governor may by notice in writing remove from once any ordinary member whose removal appears to him to be desirable for the effective performance by the Authority of its functions.
(7) If the Chairman is absent from Hong Kong or is unable to act as chairman for any other reason, the Deputy Chairman shall act as chairman in his place.
(8) At a meeting of the Authority-
(a) the Chairman shall be chairman of the meeting, or
(b) if the Chairman is not present, without affecting the generality of section 15(4), the
Deputy Chairman shall be chairman of the meeting, or
(c) if neither the Chairman nor the Deputy Chairman is present, or if there is no Deputy Chairman, subject to section 15(4), the members present shall choose one of their number to be chairman of the meeting.
(9) The quorum for a meeting of the Authority shall be the number which is equal to—
(a) in case the current membership is an even number, half the current membership plus 1; (b) in case the current membership is an uneven number, such number as would equal
half that membership were the current membership then that uneven number plus 1.
