Authority to be a body corporate; seal

(1) The Authority shall be a body corporate with power to sue

and be sued.

The Authority shall provide itself with a seal.

The seal of the Authority shall be authenticated by the

signature of the Chairman or of the Deputy Chairman (if

any) of the Authority, and if the Chairman is or, where

appropriate, both the Chairman and Deputy Chairman are,

absent from Hong Kong or otherwise unable so to

authenticate, the signature of some other member of the

Authority authorized by it to act in that behalf.

Constitution of Authority

(1) The Authority shall consist of the Financial Secretary who

shall be chairman ex officio ("the Chairman"), the Chief Executive

Officer who shall be a member ex officio, and such number, to be

determined by the Governor (but being neither less than 8 nor more

than 15), of other members appointed by the Governor, and where the

number of ordinary members falls below the minimum number required for

the time being, the Governor shall make such appointment or

appointments as may be necessary to comply with that requirement.

(2) The Governor may appoint the person who is Chief Executive

Officer or any ordinary member to be deputy chairman of the Authority

("the Deputy Chairman").
