Replacement Launch means a Launch of a replacement Payload and the services related thereto which CGWIC will provide to the Client, if requested by the Client, using its reasonable efforts and at a price favorable to the Client mutually agreed upon, in the event that, for any reason whatsoever, the Launch Mission and the Payload Mission are not accomplished, unless CGWIC is required to provide a Reflight for the Launch in accordance with Article 11 hereof.
Fixed Launch Service Fee means the total fixed portion of the price set forth in Article 8, Paragraph 8.3 hereof to be paid by the Client for the Services.
Launch Opportunity means the availability of a Launch Vehicle and the facilities required for the Launch, depending on then- existing commitments to CGWIC's Clients and technical considerations, all as determined by CGWIC taking into account the Client's requirements and the availability of the Payload.
Contract means this document and all Annexes and appendices and any documents referred to herein or therein, as well as any amendments or modifications that may be agreed to by both Parties and properly executed under the provisions hereof.
Person means and includes any individual, body corporate, firm or partnership (whether having separate legal personality or not).
