occurred if an attempt to launch the Launch Vehicle is terminated by the shut down of the first stage engines prior to the Launch Vehicle lifting off the launch pad.
Services means the services (including the Standard Services and Optional Services) to be provided by CGWIC as described in Sections 1, 2 and 3 of Annex II.
Standard Services means those Services described in Sections 1 and 3 of Annex II.
Optional Services means those Services described in Section 2 of Annex II.
Party or Parties means the Client or CGWIC or both; the specific identification shall be determined according to the context of this Contract.
Associates means in respect of one Party, that Party's contractors, subcontractors, agents and the officers, employees and agents of such Party and its contractors and subcontractors, but shall not include the other Party or its contractors, subcontractors or its or their respective. officers, employees or agents.
Third Party means any person other than the Parties and their respective Associates.
CGWIC Client(s) means any and all other client(s) of CGWIC using the Launch Base.
Property of CGWIC means, with respect to this Contract, all tangible property provided by CGWIC or by any of CGWIC's Associates which CGWIC shall use for the Services or shall place at the Client's disposal for the same purpose and including in particular, but not limited to, the Launch Vehicle and the Launch Base.
Property of the Client means, with respect to this Contract, all tangible property provided by the Client or by any of the Client's Associates, including in particular, but not limited to, the Payload and any ancillary equipment provided by the Client or any of its Associates.
Reflight means a Launch of a replacement Payload and the services related thereto which CGWIC will provide to the Client in the event of a Launch Failure as defined in Paragraph 11.9 hereof, provided the Client has elected and paid for a Reflight option, all as more particularly described in Article 11 hereof.
