22. Clause 21 is an enforcement provision and enables a perso authorized by the Financial Secretary, for the purpose of determining amounts payable on account of the royalty referred to in paragraph 21 to require the production of documents and when produced take a copy thereof or of any entry therein or remove the document for further examination. The person so authorized may also question any director or servant of the company concerned as regards its business. The clause will also apply as regards subsidiaries of a licensee.

23. Clause 22 will in effect require copies of the accounts of a company which is a subsidiary of a licensee to be sent to the Financial Secretary.

24. Clause 23 confers on the Broadcasting Authority powers similar to those conferred on the Financial Secretary by clause 21. They are exercis- able where the Broadcasting Authority is of opinion that this is necessary for the proper performance of any of its functions.

25. Clause 24 enables the powers conferred by sections 42 and 45 to be exercised as regards information stored electronically etc.

Clause 25 repeals certain provisions of the principal Ordinance.

27. This Bill may necessitate an increase in the staff of the Television

and Entertainment Licensing Authority. Any additional resource require- ment will be processed in the normal way.

公司)有投票權的股份,其中可由未符合本草案所載的常住/常駐準則或 其他準則的公司或個人所行使的投票權,不得超逾該公司有投票權的股份 的49%。(現時的規定是持牌公司股份中不少於51%有投票權的股份須 歸常住香港的人士或常駐香港的公司實益擁有);

(b) 草案第14條(新增訂第17條條文規定:未能符合常住/常駐準則或 其他準則的公司或個人所持有某持牌公司有投票權股份不得超逾10%。 此外,不論其持股量多少(即使超逾10%),其股份僅享有10%的投票 權。(現時並無類似的有效法律條文);

(c) 草案第20條規定:持牌公司所應繳納的專利稅,須根據其從電視廣告收 取的費用及其他收費按比例遞增來計算,而該專利税是有一個最高總限額 的。(現時該等持牌公司應繳的專利税是佔其所獲得的純利的 25 %);及

(d) 草案第16條規定:總督會同行政局將獲授權可飭令持牌公司將其通訊裝 置與另一通訊裝置(屬於非另一持牌公司的通訊裝置)接駁在一起及容許利 用其通訊裝置傳送某些訊號或將某些訊號供應另一公司(非持牌公司)而由 該公司的通訊裝置傳送。這被電視業業內人士稱之爲「必須傳送」條文。
