A BILL
To
Make temporary provision in respect of the holding of the third annual general meeting of the Hong Kong Futures Exchange Limited, for the laying of a profit and loss account and balance sheet before that meeting, and for purposes connected therewith.
Enacted by the Governor of Hong Kong, with the advice and consent of the Legislative Council thereof.
1. This Ordinance may be cited as the Hong Kong Futures Exchange Short title Limited (Temporary Provisions) Ordinance 1988.
2. In this Ordinance, unless the context otherwise requires-
Interpretation
"constitution" has the same meaning as it has in the Commodities Trading (Cap. 250)
Ordinance;
"Exchange Company" means the Hong Kong Futures Exchange Limited
(香港期貨交易所有限公司);
"management committee" has the same meaning as it has in the Commodi- (Cap. 250)
ties Trading Ordinance;
"third annual general meeting" means the third annual general meeting referred to in article 52 of the articles of association of the Exchange Company and "meeting" shall be construed accordingly.
3. Subject to section 5 and notwithstanding section 111 of the Companies Ordinance and the constitution of the Exchange Company, the Exchange Company may hold a general meeting as its third annual general meeting at any time prior to 1 April 1989.
