MERGER OF DEUTSCHE BANK (ASIA) AG ("DB ASIA") WITH DEUTSCHE BANK AG ("DEUTSCHE BANK")
This letter constitutes the formal application by Deutsche Bank for the transfer to it of the banking licence of DB Asia pursuant to Part VII of the Banking Ordinance in connection with the merger of DB Asia into Deutsche Bank.
In connection with this application, we enclose the following:

A copy of the agreement, with translation, ("Merger Agreement") pursuant to which DB Asia will be merged into Deutsche Bank;

Copies of the latest available audited accounts of DB Asia and Deutsche Bank.
