withdraw or revoke in such
manner and in accordance with the
wishes of the CMC or its successor
SPC as the said CTC or SFC may from
time to time give to it in writing,
any provisions of the memorandum of

articles
of
association,
association of its subsidiary
Clearing House, HKCC, and to
achieve this purpose it shall
convene an extra-ordinary general
meeting of its subsidiary Clearing
House, HKCC, and exercise its
voting power in respect of the
shares held by it at
at such meeting
or adjourned meeting and use its
best endeavours to ensure that a
special resolution is passed at
such extra-ordinary general meeting
or any adjourned meeting to effect
such amendment, withdrawal or
revocation of the memorandum of
association
and
articles
of
association.
This
undertaking
