Dear Sirs,
I refer to your Offers as set out under the heading "The Offers" in the second paragraph of my letter of 26 November 1985 and your acceptance and agreement on the same day of the points of clarification raised in that letter.
I now write to inform you that the Government accepts your "stand-alone" Offer, designated in your letter of 3 November 1985 as the Independent Tunnel Offer, and the proposed terms of the Rail Facilities (and Rolling-Stock) Rental Agreement, as clarified in the above correspondence. The Contract between us arising as a result of the Government's acceptance is now legally valid and jointly and severally binding upon the four members of the New Hong Kong Tunnel Consortium. The performance of the Contract is conditional only upon the enactment and coming into force of an Ordinance incorporating the provisions required to enable the terms of the Contract to
be implemented.
