"H.K. Government") of the one pail and Lue Government of the United Kingdom (hereinafter called the "U.K. Government") of the other part.

WHEREAS:

(i)

The Mass Transit Railway (hereinafter called the "Railway") is being constructed in Hong Kong in stages and the H.K. Government requires that the Railway and each and every part thereof shall be operated and maintained to a high standard of safety.

(ii)

The U.K. Government have established a Railway Inspectorate (hereinafter called "the Inspectorate") whose purpose is to monitor and advise on safety standards and requirements for the railways operating in the United Kingdom.

(iii)

The U.K. Government have agreed that the Inspectorate shall perform the duties more particularly set out in the First Schedule hereto in respect of the Railway on behalf of the H.K. Government upon payment of the fees and monies more particularly set out in the Second Schedule hereto.

Now It Is Hereby Agreed as follows :-

1.

The U.K. Government undertakes that the Inspectorate will during the continuance of this Agreement perform the duties more particularly set out in the First Schedule hereto in respect of the Railway whenever required to do so by the H.K. Government.

2.

The U.K. Government undertakes that it will during the continuance of this Agreement and for the period of 5 years thereafter :-

(i)

not without the prior consent in writing of the H.K. Government disclose or permit the disclosure of any information obtained as a result of this Agreement or the implementation thereof concerning the operation or construction of the Railway to any person or body not otherwise authorised in writing by the H.K. Government to receive such information.
