Explanatory Memorandum
This Bill repeals and replaces the Hong Kong
Arts Centre Ordinance (Chapter 304). The main objects
of the Bill are to continue the existing Hong Kong Arts
Centre but to set out more clearly the objects and powers
of the Centre and to create a more direct and clearly
defined administrative structure for the Centre.

Clause 1 provides that the Bill, when enacted,
will come into operation on 1 April 1986.

Clause 2 defines the terms used in the Bill.

Clause 3 continues the incorporation of the
Clauses 4 and 5 respectively
existing Hong Kong Arts Centre.

5. Clauses 6 and 7 respectively set out the
objects and powers of the Centre.
6. Clause 8 establishes the Board of Governors
of the Centre. Clause 9 provides for the membership of
the Board, and clauses 10 and 11 respectively provide for
the officers of the Board and the Chief Executive.
7. Clause 12 provides for the term of office and
resignation of members of the Board. Clause 13 sets out
the disqualifications of members, and clause 14 provides
that a member will cease to hold office after 3 consecutive
unauthorized absences from meetings of the Board.
8. Clause 15 provides for the meetings and procedure
of the Board.
9. Clause 16 enables the Board to transact business
by circulation of papers, and clause 17 provides for the
validity of acts of the Board.
