reasonably ought to be aware and any such matters arising prior to
settlement will also be disclosed to
CC.
(n) The provident fund for employees of RTV shall be fully funded with no actuarial deficiency at the date of settlement.

Full details of all service agreements with employees of RTV and HTL shall be disclosed to CC prior to settlement.
Adequate provision has been made in RTV's accounts for bonuses or gratuities payable upon completion of all such service agreements under which a bonus or gratuity is payable.
No option or agreement for option has been given or will be given prior to settlement in respect of any of the shares referred to in Clause 1.

RTV and HTL will not prior to
settlement without the prior consent of CC enter into any long term or abnormal contract or capital commitment other than by way of replacement of existing assets or involving an amount of not more than Hong Kong $100,000.
No resolution has been passed or will be passed prior to settlement by the members of RTV or HTL in general meeting to alter any of the provisions of RTV's and HTL's respective
Memorandum or Articles of Association.
