全權信託之受託人,而該全權信託持有一單位信託

(「單位信託」)之大部份單位。Hopkins (Cayman)

Limited 為單位信託之受託人,單位信託實益擁有

恒基兆業全部已發行附有投票權之普通股股份。

李兆基博士實益擁有 Rimmer (Cayman) Limited 及 Hopkins(Cayman) Limited 全部已發行之股 本。根據公開權益條例,李兆基博士被視為持有此

等股份權益。此等108,588,090股股份包括附註

These 108,588,090 shares are duplicated in the interests

described in Notes 1, 2 and 3. Rimmer (Cayman) Limited as

trustee of a discretionary trust holds a majority of units in a unit

trust ("Unit Trust"). Hopkins (Cayman) Limited as trustee of the

Unit Trust owns all the issued ordinany shares which carry the

voting rights in the share capital of HD.

Dr. Lee Shau Kee beneficially owns all the issued share capital

of Rimmer (Cayman) Limited and Hopkins (Cayman) Limited. By

virtue of the SDI Ordinance, Dr. Lee Shau Kee is taken to be

interested in these 108,588,090 shares which include the shares

described in Notes 1, 2, 3 and 4.

In accordance with Article 103(A) of the Company's articles of

association, Messrs Norman H.C. Ho, Edmond T.C. Lau, Li

Ning and Peter M.K. Wong retire by rotation and, being

eligible, offer themselves for re-election.
