王敏剛先生於一九九六年一月一日辭去公司行政總裁之 職,但仍留任為董事會成員。

根據公司組織章程第103(A)條,董事馮秉芬爵士、劉鎮 國先生、簡悅隆先生及壬泉先生輪值告退,但願膺選 留任。另根據公司組織章程第94條,何厚鏘先生已於一 九九五年五月十五日召開的上屆股東週年大會依章告 退,但膺選留任本公司董事。

本公司在年度內符合香港聯合交易所有限公司《上市規 則》附錄十四所列的最佳應用守則。

Bank loans and other borrowings

The Group's bank and other borrowings as at 31 December 1995 are as shown in note 16 on the accounts. There was no interest capitalised by the Group during the year.

Mr. Peter M. K. Wong resigned as the President and C.E.O. of the Company on 1 January 1996 but remains on the board of directors.

In accordance with Article 103(A) of the Company's articles of association, Sir Kenneth P. F. Fung and Messrs. Lau Chan Kwok, Michael Y. L. Kan and Eddie Y. C. Lau retire by rotation and, being eligible, offer themselves for re-election. In accordance with Article 94 of the Company's articles of association, Mr Norman H. C. Ho retired at the last Annual General Meeting of the Company held on 15 May 1995 and was re-elected as Director of the Company.

Compliance with the Code of Best Practice

The Company has complied throughout the year with the Code of

Best Practice as set out by the Stock Exchange of Hong Kong Limited in Appendix 14 to the Listing Rules.
