Chairman's Statement

派發認股權證

董事會建議派發分紅認股權證予一九九四年六月十 七日登記在股東名冊之股東,以每持有一股普通股 送一份分紅認股權證。每份認股權證持有人可在一 九九四年七月一日至一九九六年六月三十日內以港 幣十元二角之行使價,認購本公司面值港幣一元之 普通股一股,此認購價在若干情況下將會根據認股 權證章程作出調整。建議派發之一九九六年六月三 十日到期分紅認股權證須經股東於一九九四年六月 十七日舉行之股東週年大會中通過及香港聯合交易 所批准認股權證及該等認股權證所認購之股份上市 買賣,方可作實。

董事及員工

鄭官秀先生經服務本公司二十二載後,已於一九九 四年一月一日辭卻董事一職。對於鄭先生為集團作 出之寶貴貢獻,本人謹代表董事會致以萬分謝意。

此外,本人亦代表董事會及各股東,對全體員工過 去一年來之積極表現及辛勤工作,表示衷心之感 謝。

前瞻

西九龍及中區填海工程將繼續為渡輪業務帶來不利 影響。順應政府要求,中環至佐敦道之汽車渡輪服 務將於一九九四年六月停航。··九九五年次季,中 環碼頭一切設施包括總辦事處、超級市場、廣告設 施及海上夜總會均會受遷移影響。預計未來數年渡 輪業務將會相當困難,而集團已不斷與政府磋商, 尋求補救辦法。

香港船廠將於一九九四年中遷往青衣島。集團希望 可在年內,與政府解決因搬遷船廠引起之賠償問 題。

本集團之物業投資預計將有穩定收入,並會繼續為 集團帶來可觀利潤。

Bonus Issue of Warrants

A bonus issue of warrants to shareholders on the register on 17th June 1994 on the basis of one bonus warrant for every ten ordinary shares is proposed. Each warrant will entitle the holder to subscribe for one ordinary share of HK$1.00 each of the Company from 1st July 1994 to 30th June 1996 at an exercise price of HK$10.20, subject to adjustment in accordance with terms of the warrants. The bonus issue of warrants will be subject to approval at the Annual General Meeting of the Company on 17th June 1994 and to the listing permission by The Stock Exchange of Hong Kong Limited.

Directors and Employees

After serving the Company for twenty two years, Mr. Cheng Koon Sau has resigned as a director with effect from 1st January 1994. On behalf of the Board of Directors, I wish to thank him for his valuable contribution to the Group.

On behalf of the Board of Directors and the shareholders, I also wish to express my appreciation to the staff for their dedication and good work in the year.

Prospects

The reclamation at western Kowloon and Central will continue to adversely affect the ferry operations. At the request of the Government. the Central to Jordan Road vehicular ferry service will be suspended in June 1994. In the second quarter of 1995, all facilities at the Central ferry piers, including the main office, the supermarket, the advertising panels, and the harbour nightclub will have to be relocated. Ferry operations are projected to be in difficult times in the years ahead and your Group is continuing discussions with the Government on remedies.

The Hong Kong Shipyard will be relocated to Tsing-Yi Island in mid 1994 and we hope to resolve with the Government the issue of

compensation relating to the relocation of the Shipyard within this year.

The investment properties are expected to generate steady income and will continue to contribute significantly to the Group's profit.
