An extraordinary general meeting of the Hongkong Ice Co. Ld, was held at the offices of Messrs Jardine, Matheson and Co. on the 21st March for the purpose of making certain alterations in the Articles of Association. Hon. Mr. W. J. Gresson presid-d, otlara present being Messrs. W. Parlane (manager), R. G. Munio (secr fary), C. H. ROBS, A. Brooke Smith, T. 8. Forrest, J Barton. A. Rodger, C. W. May, Ho Fook and Lo Cheung-shui,

The SECRETARY read the notice calling the meeting and the resolutions to be submitted as published.

The CHAIRMAN-Gentlemen, the police just read explains the object of this meeting, and I should be much obliged if shareholders would propose and second the two r solutions before you for approval.

It was proposed by Mr. BARTON and seconded by Mr. Ho Fook that the Articks of Associa. tion be altered in accordance with the notice just read. Carried.

Mr. BROOKE SMITH proposed that the chan: es in the Company's Articles, jast approved in accordance with the notice read, should come into force and take effect from and in cluding the 1st May, 1907.

Mr. RODGER seconded, and the motion was agreed to.

LÜZÜN SUGAR REFINING CO. LD.

The report for presentation to the share. holders at the twenty-fifth annual general meeting, to be held at the offices of the General Agents, at 12.15 p.m., on Wednesday, March 27th, reads:-

The General Agents beg to submit to share. holders their report on the Company's business for the year 1906, with a statement of accounts to 31st December last.

For the greater part of the year the refinery at Malabon was kept working, but at a reduced melt, and owing to the low prices ruling every. where the margin of profit ou working was small.

After allowing for Interest and Less in exchange the sum at debit of profit and loss account is $138,523.01.

CONSULTING COMMITTEE.

This consists of Messis. A. G. Wood and H. P. White, who offer themselves for re-election.

AUDITOR.

The accounts have been audited by Mr. A. R. Lowe, who ‹ffers himself for re-election.

1905 Account. May to December. The amount paid as compensation to members of the Staff who retired in consequenes of the arrange. ments made with the Unip Insurance Society of Cantor, Limited, was 3161,683,97. Against this the Board has transferred the Rum 8150.000 from Reserve Fand leaving 811,685 97 to be paid out of Working Account. After payment also of the interim dividend of 83 par share and the bonus of 15 per cent to contri. bators passed at the last annual meeting, there remains a balance of $41,342.88. as per aunered statement. This sum the Board recommenda should be carried to Underwriting Suspense Account to close the account for the eight months ending 31st December 1905.

1906 Account. —The balance of Working A ccount on the 31st December 1906 W&S $933,412 89 as per annexed statement. The Board recommends that an interim dividend of

$3 per share be paid to shareholders out of interest, absorbing 872,0 0 and that a bonus of 20 per cent be paid to contributors, absorbing about 8125,0 U and that the remainder be carried forward.

DIRECTORA,

Since the last General Meeting Mr. H. W. Blade bas resigned his seat on leaving the Colony, and Wr. A G. Wood has joined the Board. Mr. Wood's appointment will be sub- mitted for the confirmation of shareholders, Messrs. E. Ormiston and C. R. Lenzmann retire by rotation and offer themselves for re-election

For the greater part of the year supplies of sugar wars poured on to the various markets from Java and Japan largely in excess of requirements, competition was keen, and prices gradually declined. Work at the Refineries had to be reduced, and during the last six months the output reached a very low point.

Inclusive of $41,419.68 brought forward from the year 1905 the sum at or-dit of Proft and Loss Account is $169,218 47 which the General Agents and Coosa'ting Committee recommead should be appropriated as followE, FİL.
