HONGKONG, CANTON & MACAO STEAMBOAT CO., LIMITED.
The following the report of the Board of Directors to the ordinary half-yearly meeting of shareholders to be held at the office of the Company, on Tuesday, the 5th February, at 12 o'clock, noon.
The directors beg to submit to the share- holders the report and statement of accounts for the half-year ending 31st December last.
After paying running expenses, salaries, premia of insurance, repairs and all other out. goings, there remains, including $42,267.23 brought forward from last account, the sum of $261,580.55 at credit of Profit and Loss Account. From this amount the Directors recommend that a dividend for the half-year of 8% on capital, or $96,000, and a bonus of 2% or $24,000, be paid to shareholders, that $40,000 be written off the book value of steamers and launches, and that $50,000 be placed at credit of equalisation of dividend fund, leaving a balance of $51,580.55 to be carried forward to new ac- count.

Mr. Slade (instructed by Messrs. Wilkinson & Grist) appeared for the plaintiff, and Mr. Robinson (instructed by Mr. Holmes) for the defendants.

In this case the plaintiff, J. C. dos Remedios, of College Chambers, sought to recover from J. A. Fredericks, broker, College Chambers, $250, part of the sum of $525 belonging to the plaintiff and handed to the defendant on 6th September, 1900, for the purpose of payment by him to the Punjom Mining Company, Limited, of the said sum of $525 in respect of calls on 525 shares in the said Company.

As there seemed to be no immediate prospect of working the West River trade remunerative-To balance... ly, it was deemed advisable to dispose of the steamer Wuchów and Samshui and four lighters, and the difference between the book value of the company's share of these vessels and the amount realised appears in the accounts now presented.
The Nanning, the first of the light draft stern-wheel steamers built for the Canton- Wuchow trade, commenced running in Novem- ber last, and the sister ship the Sainam, it is expected, will be ready to take the line some time in February.

Judgment was delivered as follows:-The plaintiff in this case sold 525 Punjom shares to John Jenkins, a master mariner, through
shares for the purchaser. The plaintiff re- mained the registered holder and as such was responsible to the Punjom Company for the calls. A call of one dollar a share was made on or about 6th August, 1900. On or about 6th September, 1900, the plaintiff, the defendant, and Jenkins met in the defendant's room. On that occasion Jenkins, at the request of the plaintiff, handed money to the defendant suffi- cient to pay the call of one dollar per share, and the defendant received the money for the purpose of paying the call. This was equiva-` lent to Jenkins handing the money to Re medios, and to Remedios in turn handing the money to Fredericks. It may be that Jei kina. was not liable to reimburse Remedios until R - medios had paid the call. But Jenkins, admit- ting a contingent liability, satisfied it in advance
