Although expenses have been cut down in every direction, the balance sheet of the Helenn May Institute,

members presented at the manual general meet ing of subscribing morning, shows a net loss of $2.745.37. Owing to the depression in the Co- tony this year, it was decided not to proceed with plans

Mr. Jenkin said the plaintiff enterod into partnership, with the object,

with the throe de fendants in

in May, of building a passenger motor vessel. All four of them contributed capital to $285,000 in all, of which

amounting, share was $20,000.

the During the bulking of the ship, plaintiff advanced to the firm further funds to the extent of $45,460, All payments to the shipbuilders in res peet of the ship were made out of the firm's funds, and all receipta given by the shipbuilders were given in the name of the firmi.

COMPANY FORMED Sometime before the completion of the boat and before November, 1934, plaintiff's co-partner decided to form o limited liability company to take over the running of the vessel. That private company was incorporated the name of the On Wo Navigation Co., Ltd. Except in name, the company did not exist, for the reasons that it had not a cent of capital, that the three subscribers to the memoranham had not eve

even taken out their one share each respectively and that not a single one of the named directors had taken up their qualification shares. A few days after the incorporation of this com- pany, the vessel Lee Hong was registered In the name of the Cheung Hin Steamship Co., Ltd., which had no interest in the private company and which in fact were trustees for the owners of the steamer, namely the partners.

On December 9, 1934, the ship started or its regular run and shortly after, trouble arose between the partners. As a result of this, the plaintiff instructed Messrs. Johnson, Stokes and Master on February 18 this year to write a letter to the first defendant. Ne satisfactory ar- rangement resulted from that letter

On July 10 last, the directora of tho On Wo Navigation. Co., Ltd., purported to allot to certain persons cerinin shares in this company, The whole thing was a nuility because they had no power to do it, and be- cause the name of the platiff was not included in this Hist.

BANKRUPTCY PETITION

"I shall ask," continued Mr. Jenkin, "for the immediate appointment of the receiver, for the reason that yesterday, during the unfortunate stand-over of this case, the plaintiff was told by the third defendant that they were going to suspend payment of the firm's debts so as to get a bankruptcy petition. They are trying to out-manoeuvre ars and I would therefore ask your Lordship for the immediate appointment of the re- ceiver."
