The Subscription List will open on Wednesday the 6th day of April, 1932 and close on or before Saturday the 9th day of April, 1932 at noon.
ASIA LANDS LIMITED.

Throughout this CAPITAL $5,000,000 divided into 500,000 shares of $10 each.
ISSUE of 50.000 shares of $10 each.
Prospectus the Currency referred to is Hongkong Currency.
Of the above shares of this issue 35,000 have already been subscribed for in cash by the Directors and their friends. On these shares $2.50 per share will be paid on applica- tion, $2.50 per share upon allotment and the balance of $5.00 per share will be called up on the same basis as the remaining Capital of this issue.
The remaining Capital of this Issue namely 15,000 shares ranking equally with those already subscribed for are now offered for Public subscription payable as to $2.50 per share on application, $2.50 per share upon allotment and the balance of $5.00 per share after three months of the date of allotment on two weeks' prior notice thereof being given.
Any of the shares now offered to the Public which may not be subscribed for will be allotted in such manner as the Directors shall determine.

(a) This Company is formed for the purpose of carrying out the various objects set forth in its Memorandum of Association (a copy of which is annexed to this Prospectus) and in particular to purchase land for investment or sale and to deal in land and house property construct buildings take on lease improve develop manage mortgage or dispose of all kinds of real and personal property to advance and lend money on all kinds of assets and to carry on all or any of the businesses of Land Investment Com- panies Land Mortgage Companies and Building Estate Co.npanies and all kinds of Agency business in relation to the investment of money and dealings in property. (b) No material Contract has been entered into on behalf of the Compar (c) The Company will after incorporation enter into an Agreement with the Asia Trust Limited la Company registered under the Companies Ordinances of Hongkong at Shanghai) whereby ti Asia Trust Limited agrees to subscribe for 5,000 shares of the General Managers of the Company so long as it con- the Company and to ac tinues to hold such number of shares of the Company and in consideration of its services as General Managers the Company rees to pay to the Asia Trust Limited after payment to the shareholders of the Company of 6% Dividend per annur. out of, the annual net profits of the business of the Company an annual fee of Twenty- five per cent. of the balance of such annual net profits. A copy of this Agreement can be inspected at the Office of the Company's Solicitors at any time during busi- ness hours.
(d) After payment of the above mentioned 6% Dividend and the annual fee to the Asia Trust Limited the balance of the annual net profits will be divisable amongst the shareholders of the Company.
(e) The Company is to pay all preliminary expenses of and incidental to the formation and floating of the Company down to the time when it becomes entitled to commence business.
(f) The estimated amount of preliminary expenses is $7,000.
(g) The minimum subscription on which the Directors may proceed to allotment is 1,000
shares.
(h) The Articles of Association of the Company provide that the qualification of a Director is to be the holding of 100 shares in the Company and that the remunera- tion of each of the Directors is to be $50 per meeting or such fee as the Company in General Meeting may from time to time determine.
(i) No. Director is interested in the promotion of the Company and no consideration has been paid or agreed to be paid to any Director in cash or shares or otherwise by any person either to induce him to become or to qualify him as a Director.
(j) No underwriting or brokerage will be paid by the Company.
(k) Copies of the Memorandum and Articles of Association can be inspected at the
Offices of the Solicitors of the Company at any time during business hours.
(1) A copy of the Company's Memorandum of Association is annexed to this Prospectus
and forms part of it.
(m) Application for shares should be made on the Form annexed to this Prospectus
which should be detached therefrom and sent to the Company's Bankers (The. Hongkong & Shanghai Banking Corporation) together with a remittance of $2.50 per share the amount payable upon application. Where no allotment is made the application monies will be returned in full and where the number of shares allotted is less than the number applied for a proportionate amount of such monies will be returned.
(n) Certificates in respect of shares allotted will be issued within one month after allot-
