PROSPECTUS.

The firm of the CHINA AGRICULTURAL DEVELOPMENT SYNDICATE (monte- times called the China Guano Company) was started in November 19:10 and It is this firm that the Company in being formed to carry on with a larger capital.

The business is the ninnufacturo in Hongkong of Fertilizern and the sale of Fertilizers in Hongkong, China and elsewhere and such other business As the Directors may from time to time decide,

The Directors confidently hope that after the first year of business the Company's Fertilizers will be firmly established in the market and that the Company will then make at least 20% per annum net on the paid up capital with greater profits as the business increnses.

Climatic Conditions.

The climatic conditions at Canton are suitable to the manufacture of the Company's products. Full onquiries have been made in this regard One of the most successful Breweries in the Far East is altunted at Manila where the climatic conditione are much more severe than those at Canton.

Water.

The Promoters have given this question every consideration and can assure intending Shareholders that both the quantity and quality of water fe available.

Land.

Suitable land is available and immediate steps are being taken to secure an option over the Site selected. This Site han abundance of water at its frontage and also by "boring" on same.

Machinery.

Negotiations have already been entered into for the purchase of a most up-to-date Plant at a very reasonable price and on the most favourable terms.

Management.

The service of a Competent Brew-Master is available together with expert management in each branch of the Company's activities.

Materials.

No difficulty will be experienced in the purchase of the materials required by the Company. It is, even possible, to grow the required materials in China. This matter is now engaging the attention of the Directors.

Anticipated Profits.

On an output of 100 Hogabeuds of Beer and 70 tons of ico per week together with the sales of Dairy Produce it is estimated that the profits, after the first year of activity by the Company, will allow for the payment of a dividend of at least 25 per cent. on the Capital.

Agency Agreements exist and are in force with reliable people in all the centres mentioned above and in every cane where goods are supplied on credit suitable Bank or other guarantees are held for payment when due. An Agoney for the New Territories and part of the adjoining part of Kwangtung Province has just been given to a very reliable man in Tripo Market. The Fortilizers are well known in Hongkong and appreciable quantities are taken by the leading Golf and other sporting clubs.

The stock of Guane Phosphate is valued on the basis of the content of Phosphoric Acid [1205) supported by Centicates of Analyses by the Hongkong Government Analyst and in comparison with recent quotations from several other sources of supply of phosphates of approximately the

same chemical content.

As regards the working capital it la considered that the amount to bo raised out of the proceeds of the share now offered for subscription, $47,800.00 plus the umount represented by the stock, cash in Bank ele, (sego above) will amply suffiée for the Company's wants,

Messrs. Lowe, Bingham'& Matthews, Chartered Accountants, have re- cently made a special investigation, and have given a certifiento that they are satisfied that the retail selling price of the stock of Gunno Phosphate is considerably higher than the price at which the Company is buying, $20.11 (see above) Copies of this Certificate may be seen at the Offices of the Vendors, of the Auditors and of the Solicitors.

It is proposed to continue the business without break or interruption, retaining the services of the present Managing Partner, Mr. L. Dowdall, the Agronomist, Mr. J. Watson and the staff who have largely contributed to the suceoma of the business..

Owing to the fact that there is not, and thers has not and has neverį been a Brewery in Canton combined also with the fact that the con- sumption of beer in.China is rapidly increasing, the prospects of the Company must be considered as very attractive.
