1. The objects of the Company

re to organize a modern and up-to-date Shipyard and Repairing Works specialising in Motor-Shipbuilding and Repairing of Motors of all descriptions. The shipyard will also undertake to build or repair vessels other than those driven by Diesel Engines and moters.

2 It is a well-known fact that Motors, Motorships, and Diesel-Engines are being built on an increased

scale every year.

3. The Company will be in a position to take full advantage of all the latest epoch-making inventions in

Abipbuilding and avoid having any part of its capital tied up in obsolete equipments.

4. This means that a Motor-Shipbuilding Yard with Repairing Works for all types of Motors will not

only have new-buildings to complete but will have repair work on hand on an increased scale.

The Company has entered into an Agreement with the Hongkong Government to acquire a most suitable space known as Kowloon Marino Let No. 90 at To Kwa Wan, Kowloon Bay, with a total area of 222,000 nq. it with all buildings, etc. This area until recently was occupied for more than 25 yearn by the Kwong Tack Cheong Shipyard Ltd., which has built more han 120 ships.

This is ordinary purposes, but as a Marino Lot already reclaimed and consolidated at considerable expense, its value should be fixed at a much higher price.

9. The buildings have been repaired, two new steel workshops have been erected and machinery, tools, etc, which have been purchand have arrived from Europe. The shipyard will soon bo again fully equipped and in working ord. 4 building berths for ships up to 800 feet length are at our dis posal, and it is proposed to build most up-to-date allpways for ships up to 300 feet in length.

10. The shipyard and repairing works are under the management of an experienced Motor-shipbuilding,

Diesel-Engine, and Motor-Engineer who has been in Hong Kong since the last 10 years.

11. The Company will be ablo to give its customers every entisfaction so far 29 good workmanship and

reasonable prices are concerned, and will hava, expert and experienced supervision.

The Company will first be supported by the Hol Fook Shipping Co., Ltd. which has placed China Motor-Shipbuilding & Repairing Worke, Ltd. an order for the con- with the South struction of 2 up-to-date motor-ships of 300 tons deadweight each. It in the intention of the Directors of the liot Fook Shipping Co., Ltd. to place an order for two larger moterships upon the satisfactory completion of the first two vessels. Hence from the very beginning the Company will have sufficient work on hand to keep its shipyard busy.

18. Messrs. Brandt & Co, Ship-Brokers, Shipping Agents, Marine-Valuers-Surveyors &-Architects, are the General Managers. They have, offices in both Hongkong and Canton, and an European Agent in Hamburg, Germany.

The Principal of this firm has had 24 years wide experience in shipping and ship-building, and be fore coming to China he hold, besides athor responsible positions the post of Managing Director of a popular shipping concern in Hamburg.

14. The number of shares Axed by the Articles of Association as the qualification of a Director is, 250

shares and the remuneration of the Directors is $700.00 per annum and 5% of the net profits.

16. The amount estimated for preliminary expenses is $3,000.00.

The oppointment of Viscount Willingdon to be Viceroy of Indin has been received with approval on all sides.

London, Dec. 20.

Ten years ago Lord Willingdon was influentially "tipped" for the position but not appointed, Re- cently he had boon completely for- gotten among the innumerable personalities, including Lord Gorell and Mr. Ramsay Mac- Donald, put forth by the nowa- papers ns Lord Irwin's successor.

Great surprise hea been occasioned by the hews, which, however, in no way mars a UD- animous chorus of approval at the appointment, which breaks the tradition that a provincial ex- Governor has never been appoint- ed Viceroy.

The Conference. the meantime, the Daily Herald takes stock of the Round Table Conference, on the eve of the Christmas Recess, and grets that progress has been less rapid than was hoped after the in- spiration of the first general de- bate. This it considers mainly due to the failure of Hindus and Moslems to reneh an agreement, да п essential forerunner to tackling the big central questions, The Herald says that for the auccess of the Conference India must prove herself a nation, and not a jumble of warring creeds. It hopes the recess will provide a fruitful time for thoughtful reflection among Hindus, Moslems and Sikhs.Reuter.

PHILHARMONIC SOCIETY'S FINAL PERFORMANCE. The producer of the Philber- monic Society's "The Yeomon of the Guard" has every reason to ba proud of the success which at- tended each of the past week's presentations, particularly when a Barles of misfortunes threatened to mar the later performances, some of the players being over taken by lineas.

Mr. R. R. Davies oires much to the determination of these or- tistos, especially Mr. Dudley Bart- latt, who carried out his part not- withstanding the fact that he was takon il during. a performance. The appreciation of the producer for the services rendered by the players and also the audiences' sup port of the production was ex pressed by Mr. Davies at the fall of the curtain on Saturday night. The public also took advantage of the opportunity to show their appreciation when they literally snowed the players with bouquets and other presents.
