VESSELS ARRIVED.
The TAK SANG from Hai- phong ria Hoihow brought yas terday afternoon 1,586 tons of rice. Mooring C 38.
The s.s. LIEN SHING from Saigon consigned yesterday after посп 1,750 tons of general merchandise from Saigon. She carried 560 Chinese passengers. She experienced moderate to strong north-east monsoon with moderate to rough sea during the whole of the passage.
The KAN CHOW, which ar rived in the Colony this morning. had 1,800 tons of cargo from Bangkok. She is a B. and S. vessel. Mooring C 17.
The FATSHING consigned to Hongkong from Kobe 867 tons of general cargo. She had as well on board 1,325 tons through cargo. --Mooring Kowloon Wharf.
The CARMARTHENSHIRE came into port early this morning with 7,290 tons of cargo and some maila-Mooring Kowloon Wharf. From Shanghai the HANG SANG brought 700 tons of general merchandise, and 65 bags of mails. Mooring West Point Wharf.
The HAITAN (Captain A. H. Stewart) had 1,100 tons of ea from Foochow The passage was rough. Mooring Douglas Wharf. The 8.8. WEST SEQUANA, belonging to the United States Shipping Board, and operated by the Pacific Mail S. S. Company Arrived yesterday from San Fran- cisco with 6,000 tons of hemp
and cigars and 542 tons of old
newspapers.
Over 10,000 tons of coal from
Keelung were consigned this morning by the O. S. K. vessel SHISEN MARU-Mooring B 32. Another 0. S. K. boat, the s. s. KAIGO MARU from Keelung brought 1,215 tons of coal this morning.-Mooring O.S.K. Wharf,

under the agency of the M. B. K. delivered here this morning 3.150 tons of coal from Kobe.-Mooring C 33.
From Kobe the DELAGOA MARU, one of the N. Y. K. feet, had 7.175 tons of through cargo, comprising canned goods, bean oil and starch-Mooring No. 4 Wharf.
From Calcutta the TOSAN MARU brought 4,585 tons of general merchandise and 20 bags of mails. She arrived yesterday. -Mooring Kowloon Wharf No. 1.
About .350 tons of cargo and 968 packages were delivered by the Chinese vessel XAMWO, from Hoihow. Mooring C 41.

That the fusion of the in- terests of the Union Insar- ance Society of Canton, Limited, (in this and the following Resolutions referr- ed to as the Society") and the North China Insurance Company Limited (in this and the following Resolutions re- ferred to as the Company") be approved of and agreed to on the basis following:- (a) That shares of the Society of the nominal value of £10 each whereof 4 per share shall be credited as paid up be alloted to the shareholders of the Company in exchange for the shares of the Com- pany in the ratio of one and.. half shares of the Society for each one share of the Com- pany.
(b) That the Society in addition make paymen: to the share- holders in the Company of the sum of £5. (Five pounds) Sterling in cash for each one share in the Company held by such shareholders ex- changing their shares in manner and upon the basis mentioned in clause (a) above. 2. That for the purpose of
carrying into effect Resolut- ion, No. 1 (a) above, the So- ciety do issue 15,000 ShareS of the nominal value of £10 each (whereof the sum of £4 per share is credited as paid up) out of its unissued capital of 104,000 shares.

That the 15,000 shares re- ferred to in Resolution No. Z above as and when issued do rank for dividend and in all respects pari passu with the existing Ordinary shares of the Society and that the balance (if any) of such 15,000 shares be dealt with in such manner as the Board of Directors of the Society shall think most beneficial to the Society.
