THE HONGKONG & KOWLOON WHARF & GODOWN CO., LTD.

NOTICE is barely given that an Extraordinary Meeting of the Hongkong and Kowloon Wharf and Godown Co., Lid, will be held at the offices of Manes. Jardins, Maibenon and Co., Ltd., Pedder Street, Hongkong, on Friday, the 29th day of March, 1919 at 12 o'clock noon when the subjoined resolutions which were posed at the Extraordinary General Meeting of the Company bald on the 72 day of March, 1919 will be submitted for confirmation as Special Resolations

Thai the capital of the Company be increased from $3,000,000.00 to 14,000,000.00 by the creation of 20,000 how hard of $50.00 a new sharm to participate in any dividend declared after the 7th February, 1910 pro rata with the existing capital

(a) By the insertion of the words “without the sanction of the Directors'

By the insertion of the latter (a) after the figures 101" constitut- ing the number of Article 101 and by the addition of the following paragraph to Article 101 :-

The Board may employ the reserve fund for the time being, or any portion thereof (and that whether such fund or such portion a is proposed to be deals with was set aide for the special purpose so which it is proposed, to be applied or for any other purpose or noti in or for all or any of the following purposea that is to say, i meeting contingencies, in equalising dividends, in paying special dividends, ar bauses, in repairing, improving or maintaining any of the property of the Company or otherwise in the business of the Company and in or for such other purposes as the Board shall in its discretion think conducive to the interests of the Company and in regard to any such employment as aforesaid the Board shall not be bound to keep the reserve fard separate from the other assets. By the addition immediately after article 101 of s new Article as follows →→→

(1) The Company in General Meeting may in the year 1919 pass & resolution to the effect that it is desirable to capitalise to the estest provided for by this Article the sum of $1,000,000 being part of the undivided profits of the Company standing to the credit of the Company's Reserve Fund, and accordingly that for the parpose of effecting such capitalisation such sum of $1,000,000 be distributed as a bonds amongst the persons who are registered as the hollers of the issued shares of the Company on such dato as the Board shall decide in proportion to the issued shares held by **them on that date respectively, and that the Board be authorised distribute amongst auch persons aforesaid toe new aniszed **share for each complete number of three lasted shares held by them and that the Board be further authorised to allot the surplus of **such unissued shares remaining after each allotment to such persona **st such times and on such terms and conditions as they think EL (2) When such resulation has been passed the Board may alt and "ise the 20,000 unissued shares of the Company credited

"That it is desirable to capitalise to the extent hereinafter provided

the sum of $3,000,000 being part of the undivided prents of the Company standing to the credit of the Company's reserve fund **and accordingly that for the purpose of electing such capitalisa- tion a bonus of $16.66 per share on each of the uned shares of *the Company be and the same is hereby declared and that the "Board be and they hereby are authorised to satisfy such bonus **as far as possible by the distribution amongst the persons who are **registered the bolders of the issued shares of the Company O anch date as the Board shall decide of one of the anised $50.00 aharer of the Company credited as fully paid up in respect of each complete number of three of the issued shares of the Company held by such persons as aforesaid and in satisfaction of such bong "To respect of each such complete namber of three issued shares" Dated the 11th of March, 1919.
