1. That the capital of the Company be increased to 2450,000 by the creation of 20,000 additional shares of $7.50 each.

2. That the Directors be authorized to offer the said 20,700 ad- ditional shares at par to the members on the Register of members on the 14th day of October 1916 in the proportion of one new share: for every complete number of two shares which such members are the registered holders of on that date and upon the farting that the sum of $6.1 per share shall be payable in respect of such shares un acceptance of the off r. And that such offer be made by notice specifying the number of shares to which members are entitled and limiting the time within which the offer if not accepted will be deemed to be declined to the 31st day of October 1916. And that the Directors be emp wered to disprse of shares nt accepted in response to such offer to such persons upon such terms and con- ditions and at such times as they consider expedient in the interests of the Compuy.

3. That such additional shares shall participate in any divid and declared of er the 31st day of October 19.6 pari passu with the existing capital.
